Invoice Notes
This Invoice covers the complete deployment of the EditorPro software suite for Estudio Creativo Digital SRL, with all services to be delivered and utilized at the Argentina Buenos Aires office location. The Editor licenses are registered under the client's CUIT and are non-transferable to other jurisdictions without prior written authorization from EditorPro Solutions S.A.
All Editor software updates and security patches released during the contract period are included at no additional cost. The Editor cloud workspace data is hosted on servers located within Argentina to comply with local data residency regulations applicable to the Argentina Buenos Aires region.
Payment may be made via bank transfer to the following account: Banco de la Nación Argentina, CBU: 01100010000012345678901, CUIT: 30-71234567-8. Please reference Invoice number INV-2025-BA-004872 in all payment communications.
Terms and Conditions
- This Invoice is valid for 30 calendar days from the issue date. Payment is due no later than July 15, 2025. Late payments will incur a monthly interest charge of 3.5% as per Argentine commercial law (Ley de Cambios, Decreto 12.844/1958).
- The Editor software licenses granted under this Invoice are limited to the named users at the Argentina Buenos Aires location. Any expansion to additional offices or locations within Argentina or internationally requires a separate contractual agreement and supplemental Invoice.
- EditorPro Solutions S.A. warrants that the Editor software will be free from material defects for a period of 12 months from the date of installation. This warranty does not cover damage resulting from unauthorized modification of the Editor software or failure to follow documented installation procedures.
- All intellectual property rights associated with the Editor software, including but not limited to source code, algorithms, and proprietary editing engines, remain the exclusive property of EditorPro Solutions S.A. The client is granted a non-exclusive, non-transferable license to use the Editor for internal business operations only.
- In the event of a dispute arising from this Invoice or the associated Editor services, both parties agree to resolve the matter through arbitration in Buenos Aires, Argentina, in accordance with the rules of the Argentine Chamber of Commerce. The governing law for this Invoice and all related Editor services is the law of the Argentine Republic.
- This Invoice constitutes the complete and exclusive agreement between the parties regarding the Editor services described herein. No modification, amendment, or supplement to this Invoice shall be effective unless made in writing and signed by authorized representatives of both parties.
