Invoice Notes & Editor Deployment Details
This Invoice covers the complete procurement, licensing, and deployment of the Editor platform for all operational workstations located in Japan Tokyo. The Editor software has been specifically configured to meet the technical and regulatory requirements of media production facilities operating within the Japan Tokyo metropolitan area.
All Editor licenses referenced in this Invoice are registered under the Japan Tokyo corporate entity of Shinsei Media Productions K.K. and are non-transferable outside the designated Japan Tokyo office locations without prior written consent from Meridian Digital Solutions Ltd.
The Editor Cloud Collaboration Module will be hosted on servers physically located within Japan Tokyo to ensure compliance with Japan's Personal Information Protection Act (PIPA) and to minimize latency for all Japan Tokyo-based editorial teams.
Please note that this Invoice is valid for 30 days from the Invoice date. Payment must be received by the stated Due Date to avoid service interruption of the Editor platform across all Japan Tokyo workstations.
Terms & Conditions of This Invoice
1. Payment for this Invoice is due within 30 days of the Invoice date via bank transfer to the account specified below. Late payments on this Invoice will incur a penalty of 1.5% per month on the outstanding balance.
2. The Editor software licenses detailed in this Invoice are subject to the End User License Agreement (EULA) provided separately. All Japan Tokyo users must acknowledge and accept the EULA prior to first use of the Editor platform.
3. Meridian Digital Solutions Ltd. reserves the right to conduct compliance audits of Editor usage within the Japan Tokyo premises to ensure license quantities match the terms stated in this Invoice.
4. Any disputes arising from this Invoice shall be governed by the laws of Japan and shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association.
5. This Invoice does not constitute a warranty of performance. All Editor software is provided "as is" with the limited warranty terms outlined in the separate Service Level Agreement (SLA) document.
6. Cancellation or modification of any Editor service line item after the Invoice has been issued requires a written amendment signed by both parties and may be subject to a 15% administrative fee.
