Terms & Conditions of This Invoice
- Payment Terms: Full payment of this Invoice is due within thirty (30) calendar days from the date of issue. Payment shall be made via bank transfer to EditorPro Solutions SARL, Bank Al-Maghrib, IBAN: MA64 0117 8000 0002 0050 0001 2345, Casablanca branch.
- Editor License Scope: The Editor Professional Suite licenses granted under this Invoice are non-transferable and restricted to use within the physical premises of Atlas Media Group located in Casablanca, Morocco, and its approved cloud infrastructure. Any unauthorized redistribution or use outside the agreed scope will result in immediate termination of the Editor license.
- Warranty: EditorPro Solutions SARL warrants that the Editor software delivered under this Invoice shall be free from material defects in workmanship and design for a period of twelve (12) months from the date of installation in Casablanca. This warranty does not cover damage caused by misuse, unauthorized modification, or force majeure events.
- Intellectual Property: All intellectual property rights in the Editor software, its documentation, plugins, and associated materials remain the exclusive property of EditorPro Solutions SARL. The client receives a limited, non-exclusive license to use the Editor as described in this Invoice and the accompanying service agreement.
- Applicable Law: This Invoice and all related Editor services are governed by the laws of the Kingdom of Morocco. Any disputes arising from this Invoice shall be resolved by the competent commercial courts of Casablanca, Morocco. Both parties agree to attempt amicable resolution before initiating any legal proceedings.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all business information, pricing details contained in this Invoice, and technical specifications of the Editor deployment in Casablanca. This obligation survives the termination of the service agreement for a period of three (3) years.
- Late Payment: In the event of late payment beyond the due date specified in this Invoice, a penalty interest of 1.5% per month shall be applied on the outstanding balance, in accordance with Moroccan commercial law (Code de Commerce, Article 431).
- Invoice Validity: This Invoice is valid for a period of ninety (90) days from the date of issue. After this period, the pricing and terms may be subject to revision, and the Editor services outlined herein may no longer be available at the quoted rates.
