1. This Invoice is issued in accordance with the Iranian Commercial Code and the regulations of the Iran Tehran Municipality for creative and entertainment industry professionals. All amounts are denominated in Iranian Rial (IRR) and are subject to the prevailing exchange rates set by the Central Bank of Iran.
2. Payment shall be made within fifteen (15) calendar days of the Invoice issue date via bank transfer to the following account: Bank Melli Iran, Branch: Valiasr, Tehran. Account Name: Arash Kianpour. IBAN: IR88 MELL 0000 0042 8876 5432 1001.
3. A late payment penalty of 0.5% per calendar day shall apply to any outstanding balance beyond the due date, in compliance with Iranian civil law provisions governing commercial transactions in Iran Tehran.
4. The Film Director retains full creative authority over the final artistic vision of the production. Any revisions requested by the client beyond the scope defined in the original production contract shall be invoiced separately at the Film Director's standard hourly rate.
5. This Invoice constitutes a final settlement for all Film Director services rendered during the production period of January 10, 1404 through March 1, 1404 (January 30, 2025 through March 1, 2025) in Iran Tehran. No additional charges shall be incurred for services within the agreed scope.
6. The Film Director warrants that all services described in this Invoice were performed in full compliance with the Iranian Film and Cinema Industry regulations, the Ministry of Culture and Islamic Guidance guidelines, and all applicable labor laws of the Islamic Republic of Iran.
7. In the event of any dispute arising from this Invoice, both parties agree to first seek resolution through mediation at the Iran Tehran Chamber of Commerce, Industry, Mining and Agriculture before pursuing any legal action in the competent courts of Tehran.
Additional NotesThis Invoice has been prepared by Kianpour Visual Productions, a registered Film Director studio operating in Iran Tehran, for the exclusive use of Tehran Cinema Group Co. The document is valid for a period of ninety (90) days from the date of issue. Please reference Invoice number TD-2025-04178 in all correspondence and payment transactions. The Film Director, Arash Kianpour, is a certified member of the Iranian Directors' Guild (Sangar-e Film Sazan) and holds a valid professional license issued by the Iran Tehran Cultural Affairs Office. All intellectual property rights related to the creative direction, storyboard designs, and directorial notes produced under this engagement remain the property of the Film Director unless otherwise stipulated in the master production agreement. This Invoice is issued in duplicate; the original is retained by the issuing Film Director's office in Tehran, and the copy is delivered to the client for their accounting records.
