Notes Regarding This Invoice
This Invoice has been prepared by Brandmark Creative Studio, a registered Graphic Designer practice operating out of Houston, Texas, United States. All services rendered during the billing period were performed in accordance with the Master Service Agreement dated April 15, 2025, between the Graphic Designer and Bayou City Marketing Group LLC. The tax rate applied reflects the combined sales and use tax for the City of Houston and Harris County as of the date of this Invoice. Should the client require additional design work beyond the scope outlined above, a supplemental Invoice will be issued separately. All intellectual property rights to the final deliverables transfer to the client upon full payment of this Invoice. The Graphic Designer retains the right to display completed work in a professional portfolio unless otherwise restricted by a non-disclosure agreement.
Terms and Conditions
- Payment is due within thirty (30) calendar days from the Invoice date. Late payments will accrue a monthly interest charge of 1.5% on the outstanding balance, in compliance with Texas Business & Commerce Code Chapter 2412.
- This Invoice is non-transferable and must be paid by the entity named in the "Bill To" section. Payment made by a third party will not be accepted without prior written authorization from the Graphic Designer.
- All design work is subject to the revision policy outlined in the Master Service Agreement. Revisions exceeding the agreed-upon number of rounds will be billed at the Graphic Designer's standard hourly rate of $95.00 per hour.
- The Graphic Designer is not liable for any indirect, incidental, or consequential damages arising from the use of the design deliverables. The client assumes full responsibility for the accuracy of all content, text, and imagery provided to the Graphic Designer for inclusion in the final designs.
- In the event of a dispute regarding this Invoice, both parties agree to first attempt resolution through good-faith negotiation. If unresolved, the matter shall be submitted to binding arbitration in Harris County, Houston, Texas, United States, in accordance with the Texas Arbitration Act.
- This Invoice constitutes a legally binding document under the laws of the State of Texas and the United States. All communications regarding this Invoice should be directed to the Graphic Designer at the address listed above.
- By accepting this Invoice, the client acknowledges receipt of all deliverables and confirms that the work meets the specifications and quality standards agreed upon in the project brief.
