Terms, Conditions & Notes
1. This Invoice is issued in accordance with the Goods and Services Tax (GST) Act, 2017, and all applicable tax regulations of India. The place of supply for all services rendered is New Delhi, India.
2. The Marketing Manager services detailed in this Invoice are provided under a retainer agreement effective from 01 April 2025. All deliverables, reports, and strategic documents produced by the Marketing Manager team during the billing period are the intellectual property of Meridian Retail Group India Pvt. Ltd.
3. Payment is due within fifteen (15) calendar days from the date of this Invoice. Late payments shall attract interest at the rate of 1.5% per month or the rate prescribed under Section 50 of the CGST Act, 2017, whichever is higher.
4. TDS (Tax Deducted at Source) has been deducted at 10% as per Section 194J of the Income Tax Act, 1961, applicable to professional and technical fees. The deductor shall furnish Form 16A to the vendor within the stipulated timeline.
5. All services are rendered by qualified Marketing Manager professionals based in New Delhi, India. Any on-site visits to client premises within the National Capital Territory (NCT) of Delhi are included. Travel beyond a 50-kilometre radius from Connaught Place, New Delhi, will be billed separately at actual cost.
6. This Invoice is valid for 90 days from the date of issue. In the event of a dispute regarding the scope of Marketing Manager services or the charges listed herein, both parties agree to resolve the matter through arbitration in New Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996.
7. No part of this Invoice or the underlying services may be assigned or transferred without prior written consent from both parties.
