Terms and Conditions – Project Manager Services Invoice
This Invoice is issued by Meridian Project Solutions LLC, a legally registered entity operating in Russia Moscow, in accordance with the Federal Law of the Russian Federation on Accounting (No. 402-FZ) and applicable tax regulations. The services described herein relate to the provision of dedicated Project Manager expertise for the duration of the specified service period.
- All Project Manager services rendered under this Invoice are subject to the Master Service Agreement (MSA) dated 15 January 2025, executed between the parties in Moscow, Russia Moscow.
- The Project Manager assigned to this engagement shall comply with all professional standards set forth by the Russian Association of Project Managers (RAPM) and applicable industry regulations.
- Payment for this Invoice must be received within fifteen (15) calendar days of the issue date. Failure to remit payment by the due date will result in the accrual of late fees as specified in the payment terms above.
- All rates quoted in this Invoice are exclusive of Value Added Tax (VAT) at the standard rate of 20%, which is applied in accordance with the Tax Code of the Russian Federation.
- Any disputes arising from this Invoice or the underlying Project Manager services shall be resolved through arbitration in Moscow, Russia Moscow, in accordance with the rules of the Moscow Arbitration Court.
- The Project Manager services described in this Invoice are non-transferable and may not be subcontracted without prior written consent from the client.
- This Invoice constitutes a final accounting document for the services rendered during the period of 01 May 2025 through 31 May 2025. No additional charges for Project Manager time or resources during this period shall be invoiced separately.
- Meridian Project Solutions LLC reserves the right to adjust Project Manager staffing levels with a minimum of five (5) business days written notice, provided that the total service hours remain consistent with the scope defined in this Invoice.
