Terms and Conditions
- This Invoice is issued by the Web Designer, Jean-Pierre Mbuyi, operating as Mbuyi Digital Web Design Studio, registered in DR Congo Kinshasa, and is legally binding upon acceptance by the client.
- All web design services described in this Invoice were performed in accordance with the project scope document signed on 20 May 2025 in Kinshasa, DR Congo.
- The Web Designer retains full intellectual property rights to all proprietary code, design frameworks, and methodologies used during the project. The client receives a perpetual, non-exclusive license to use the final deliverables.
- Payment is due within fifteen (15) days of the Invoice date. Late payments shall incur a penalty of 2% per month, calculated from the due date, in accordance with commercial law in DR Congo.
- All prices are quoted in United States Dollars (USD). In the event of currency fluctuation, the amount payable in Congolese Francs (CDF) shall be determined at the official exchange rate published by the Banque Centrale du Congo on the date of payment.
- The Web Designer guarantees a defect-free period of thirty (30) days following final delivery. Any bugs or errors discovered within this period in DR Congo Kinshasa or remotely shall be corrected at no additional cost.
- This Invoice is valid for ninety (90) days from the issue date. After this period, the Web Designer reserves the right to re-quote the services at current market rates.
- Any disputes arising from this Invoice shall be resolved through amicable negotiation in Kinshasa, DR Congo, or, failing that, through the competent commercial courts of the City of Kinshasa.
- The client acknowledges that the Web Designer has fulfilled all obligations as outlined in the service agreement and that this Invoice represents the final and complete billing for the project.
