- Delivery Address: Goethe-Universität Frankfurt am Main, Campus Bockenheim, Theodor-W.-Adorno-Platz 6, 60323 Frankfurt am Main, Germany. All deliveries must be coordinated with the facility management office of the university in Germany Frankfurt.
- Delivery Window: All items shall be delivered no later than 30 July 2025. The Academic Researcher requires full operational readiness of all equipment by 15 August 2025 to maintain the project timeline.
- Installation: The supplier is responsible for on-site installation, calibration, and commissioning of all major instruments at the Germany Frankfurt laboratory. A minimum of two (2) working days shall be allocated for installation per major unit.
- Training: The supplier shall provide a minimum of eight (8) hours of hands-on training for the Academic Researcher and up to six (6) doctoral candidates and postdoctoral researchers assigned to the project.
- Warranty: All equipment carries a minimum two-year comprehensive warranty from the date of acceptance. Extended warranty options may be discussed separately.
- Payment shall be made via bank transfer to the supplier's designated account in Germany Frankfurt.
- 30% advance payment upon confirmation of this Purchase Order.
- 60% upon delivery and successful installation at the Germany Frankfurt research facility.
- 10% final payment upon completion of training and formal acceptance by the Academic Researcher.
- Payment terms: Net 30 days from invoice date, in accordance with German commercial law (HGB § 362).
- All invoices must reference Purchase Order number FR-AR-2025-00472 and the applicable DFG/EU grant reference.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- The Academic Researcher reserves the right to inspect all delivered goods upon arrival at the Germany Frankfurt facility. Any discrepancies, damage, or non-conformity must be reported within five (5) business days of delivery.
- All equipment must comply with applicable German and European Union safety standards, including DIN EN 61010 and relevant BfR regulations for laboratory use.
- The supplier warrants that all goods are new, unused, and free from defects. No refurbished or second-hand items shall be accepted under this Purchase Order.
- Confidentiality: The supplier acknowledges that the research conducted by the Academic Researcher in Germany Frankfurt is subject to intellectual property protections. No data, samples, or proprietary information shall be disclosed to third parties.
- This Purchase Order may only be amended in writing, signed by both the Academic Researcher and an authorized representative of the supplier.
