All items listed in this Purchase Order shall be delivered to the research laboratory located at the Centre for Advanced Studies, Whitefield, India Bangalore, within 45 calendar days from the date of this Purchase Order. The vendor shall be responsible for all logistics, insurance during transit, and on-site installation within the India Bangalore premises. Installation of the laser confocal microscope and the high-performance workstations shall be completed and verified by the Academic Researcher or her designated lab technician before the delivery is deemed accepted. The vendor must provide a minimum 2-year comprehensive warranty on all equipment and a 1-year warranty on consumables and software licenses.

Payment against this Purchase Order shall be made in the following schedule: (a) 30% advance payment (INR 17,63,410.50) within 7 working days of Purchase Order acceptance by the vendor; (b) 50% upon successful delivery and installation at the India Bangalore site (INR 29,39,017.50); (c) 20% balance payment (INR 11,75,607.00) after a 30-day performance verification period during which the Academic Researcher shall confirm that all equipment is functioning as per the specified parameters. All payments shall be made via NEFT/RTGS to the vendor's designated bank account. The vendor shall issue a valid GST tax invoice for each payment tranche.

This Purchase Order is governed by the laws of the Republic of India, and any disputes shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
The Academic Researcher reserves the right to reject any item that does not conform to the specifications stated in Section 2 of this Purchase Order. Rejected items must be replaced within 10 working days at the vendor's sole cost.
The vendor warrants that all goods supplied are new, unused, and free from any encumbrance, lien, or third-party claim. The vendor shall indemnify the buyer against any intellectual property infringement claims arising from the supplied goods.
Force majeure events, including but not limited to natural disasters, government-imposed lockdowns, or supply chain disruptions affecting the India Bangalore region, shall extend the delivery timeline by a period equivalent to the duration of the event, provided written notice is given within 48 hours.
The vendor shall maintain confidentiality regarding the research objectives, data, and methodologies of the Academic Researcher. No information pertaining to the research conducted at the India Bangalore facility shall be disclosed to any third party without prior written consent.
This Purchase Order becomes effective upon signature by both parties. No modification or amendment shall be valid unless made in writing and signed by both the Academic Researcher and the authorized representative of the vendor.
The vendor shall comply with all applicable environmental, safety, and regulatory norms of the Government of India and the State of Karnataka in the manufacture, packaging, and delivery of the goods.
Any late delivery beyond the stipulated 45-day period shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10% of the total value.

This Purchase Order is issued in the capacity of the undersigned Academic Researcher, who is authorized to commit institutional funds for research procurement under the approved grant. The vendor's acceptance of this Purchase Order shall constitute a binding agreement for the supply of goods and services as described herein.
