Important Note: This Purchase Order is issued specifically to support the ongoing research program of the designated Academic Researcher at the Institute of Advanced Scientific Studies, Tehran. All items listed herein are procured under the institutional research grant AR-TEH-2025-114 and are intended exclusively for academic and scientific purposes within the Iran Tehran metropolitan research network. The Academic Researcher named in the project documentation shall be the primary user and custodian of all equipment and materials acquired under this Purchase Order. Terms and Conditions1. Delivery Location: All goods and services under this Purchase Order shall be delivered to the Institute of Advanced Scientific Studies, 42 Enghelab Avenue, Valiasr Street, Tehran, Iran. The Seller is responsible for all transportation, insurance, and risk of loss until the items are received and signed for by the designated Academic Researcher or their authorized representative at the Tehran facility.
2. Payment Terms: Payment shall be made in two installments: 40% (1,176,000,000 IRR) upon confirmation of this Purchase Order and 60% (1,764,000,000 IRR) within 30 days of successful delivery, installation, and acceptance by the Academic Researcher. Payment shall be made via bank transfer to the Seller's designated account in Tehran.
3. Acceptance and Inspection: The Academic Researcher or a designated technical committee member shall inspect all delivered items within five (5) business days of arrival at the Tehran location. Any defects, discrepancies, or non-conformities must be reported in writing to the Seller within this period. Failure to report within this window shall constitute acceptance of the goods.
4. Warranty: All equipment shall carry a minimum manufacturer's warranty of twenty-four (24) months from the date of installation in Tehran. The Seller shall provide on-site repair or replacement services within Iran Tehran at no additional cost during the warranty period.
5. Intellectual Property and Usage: All software licenses, database subscriptions, and digital materials procured under this Purchase Order are licensed exclusively for the use of the named Academic Researcher and their immediate research team at the Tehran institution. Redistribution or transfer outside the institution is prohibited.
6. Cancellation and Modification: This Purchase Order may be modified or cancelled only by mutual written agreement between the Buyer and the Seller. In the event of cancellation after production has commenced, the Seller may invoice for materials already procured, up to a maximum of 50% of the affected line item value.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Islamic Republic of Iran. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Tehran, Iran.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government sanctions affecting international supply chains, or civil unrest in the Iran Tehran region.
