All items specified in this Purchase Order shall be delivered to the Kazakhstan Almaty research facility located at 53 Dostyk Avenue, Almaty, 050040, Kazakhstan, no later than 30 July 2025. The Seller is responsible for all transportation, insurance, and customs clearance within the Republic of Kazakhstan. Upon delivery, the designated Academic Researcher, Dr. Yerlan Kassenov, or his authorized laboratory assistant shall inspect all items within five (5) business days. Acceptance is contingent upon the equipment meeting the specifications outlined in Annex A of this Purchase Order. Any defects or discrepancies must be reported in writing to the Buyer's procurement office within the inspection period. The Seller shall replace or repair non-conforming items at no additional cost within fourteen (14) calendar days of notification.
Payment for this Purchase Order shall be made in Kazakhstani Tenge (KZT) via bank transfer to the Seller's designated account. The payment schedule is as follows: (a) 40% advance payment (KZT 7,650,000) due within ten (10) business days of the Seller's written acknowledgment of this Purchase Order; (b) 50% (KZT 9,562,500) due upon confirmed delivery and acceptance of all items by the Academic Researcher at the Kazakhstan Almaty site; (c) 10% retention (KZT 1,912,500) due ninety (90) days after acceptance, subject to satisfactory performance of any warranty obligations. Late payments shall accrue interest at a rate of 0.05% per calendar day as stipulated under the Civil Code of the Republic of Kazakhstan.
- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties and is governed by the laws of the Republic of Kazakhstan.
- All equipment procured under this Purchase Order is intended exclusively for the use of the designated Academic Researcher and the Almaty State Academic Research Institute. Resale or transfer of items to third parties is strictly prohibited without prior written consent.
- The Seller warrants that all items are new, unused, and free from defects for a period of twenty-four (24) months from the date of acceptance at the Kazakhstan Almaty facility.
- The Academic Researcher shall be provided with full technical documentation, user manuals in both Kazakh and English, and a minimum of eight (8) hours of on-site training for each major piece of equipment.
- Any modification to the scope, quantity, or pricing of this Purchase Order must be executed through a formal written amendment signed by both parties.
- In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the Almaty City Arbitration Court in Kazakhstan Almaty for final adjudication.
- The Seller shall comply with all applicable environmental, safety, and occupational health regulations of the Republic of Kazakhstan in the manufacture, packaging, and delivery of the procured items.
- This Purchase Order shall remain in full force and effect until all payment obligations have been satisfied and all warranty periods have expired.
By signing below, both parties confirm that this Purchase Order has been reviewed, understood, and accepted in its entirety. The Buyer confirms that the Academic Researcher named herein is duly authorized to receive and inspect the procured items at the Kazakhstan Almaty research campus. The Seller confirms capacity and willingness to fulfill all obligations set forth in this document.
