This Purchase Order is issued to procure specialized laboratory equipment, reagents, and technical services required for the ongoing academic research program led by the designated Academic Researcher, Prof. Dr. Elif Kaya. The research project, funded under the TUBITAK (Scientific and Technological Research Council of Turkey) grant program, focuses on molecular-level analysis of endemic plant species in the Marmara region. All items listed below are to be delivered to the research laboratory located in Istanbul, Turkey, and must comply with the quality standards set forth by the Turkish Standards Institution (TSE) and the European Conformity (CE) directives applicable within the Republic of Turkey.

All items under this Purchase Order shall be delivered to the Istanbul University Faculty of Natural Sciences laboratory, Çapa Campus, Fatih, Istanbul, Turkey, no later than 30 July 2025. The supplier is responsible for all transportation, insurance, and customs clearance (if applicable for imported components) within the borders of Turkey. Installation and initial calibration must be completed within 10 business days of delivery. The Academic Researcher and two designated graduate research assistants will be present during installation to verify functionality and receive hands-on training.
6. Payment Terms- Advance Payment: 30% of the total Purchase Order value (TRY 448,020.00) shall be transferred within 10 business days of mutual signature of this document.
- Delivery Payment: 50% of the total Purchase Order value (TRY 746,700.00) shall be paid upon confirmed delivery and successful installation of all items at the Istanbul laboratory site.
- Final Payment: The remaining 20% (TRY 298,680.00) shall be paid within 30 days after the completion of the training session and issuance of the final acceptance certificate by the Academic Researcher.
- All payments shall be made via bank transfer to the supplier's designated account in Turkey. Invoices must include the supplier's VKN, the Purchase Order number, and the applicable KDV (VAT) breakdown as required by the Turkish Revenue Administration (Gelir İdaresi Başkanlığı).
- This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Istanbul, Turkey.
- The supplier warrants that all equipment is new, unused, and free from defects for a minimum period of 24 months from the date of installation. The warranty is valid throughout the territory of Turkey, with priority service coverage in the Istanbul metropolitan region.
- The Academic Researcher reserves the right to inspect all goods upon delivery and to reject any item that does not conform to the specifications outlined in this Purchase Order or the attached technical annex.
- Confidentiality: All research data, protocols, and methodologies associated with the Academic Researcher's project are classified as confidential. The supplier shall not disclose any information pertaining to the research to third parties without written consent from the Principal Investigator.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Turkey Istanbul region.
- Intellectual Property: All data generated through the use of the purchased equipment in the course of the Academic Researcher's funded project shall remain the sole intellectual property of Istanbul University and the grant-awarding body (TUBITAK).
- This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations, including the 24-month maintenance contract, have been fully discharged.
