- This Purchase Order is issued by Dr. Eleanor M. Vasquez, a Senior Academic Researcher at the University of Southern California, located in Los Angeles, California, United States, and is governed by the procurement regulations of the State of California and the federal grant terms of the National Institutes of Health (NIH).
- All equipment and materials listed in this Purchase Order shall be delivered to the buyer's laboratory facility at 3620 McClintock Avenue, Los Angeles, CA 90089, United States, no later than August 15, 2025. Delivery shall be made between the hours of 8:00 AM and 4:00 PM, Monday through Friday, excluding federal and California state holidays.
- The Academic Researcher (buyer) reserves the right to inspect all delivered items within ten (10) business days of receipt. Any item found to be defective, damaged, or non-conforming to the specifications outlined in this Purchase Order shall be replaced or repaired at the supplier's sole expense within fifteen (15) business days of written notice.
- Payment shall be made via institutional check or electronic funds transfer (EFT) to the supplier's designated bank account within thirty (30) calendar days of the date of invoice, provided that all goods and services have been accepted in accordance with Section 3 above. Late payments shall accrue interest at a rate of 1.5% per month as permitted under California Commercial Code Section 2304.
- The supplier warrants that all capital equipment shall be free from defects in materials and workmanship for a period of no less than twenty-four (24) months from the date of installation and commissioning in Los Angeles. Consumable reagents shall carry a minimum shelf life of twelve (12) months from the date of delivery.
- All installation, calibration, and operator training services shall be performed by certified technicians of the supplier on the buyer's premises in Los Angeles, California. The Academic Researcher's laboratory staff (up to 12 personnel) shall receive a minimum of forty (40) hours of hands-on training per major instrument.
- This Purchase Order is subject to the terms of the NIH grant R01-GM148293. The supplier acknowledges that the equipment procured under this order is federally funded and shall comply with all applicable federal procurement regulations, including the Federal Acquisition Regulation (FAR) and the Bayh-Dole Act, where applicable.
- Neither party shall be liable for delays or failures in performance resulting from acts of God, natural disasters, pandemics, government-mandated closures, or other events beyond the reasonable control of the affected party, provided that written notice is given within five (5) business days of the occurrence.
- This Purchase Order, together with any attached specifications, quotes, and correspondence, constitutes the entire agreement between the parties. No modification or amendment shall be valid unless made in writing and signed by both the Academic Researcher (or their authorized institutional representative) and the supplier.
- Governing law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law principles. Any disputes arising hereunder shall be resolved in the state or federal courts located in Los Angeles County, California.
All shipments destined for the Los Angeles, United States delivery address must be coordinated with the University's Facilities Management Office at least seven (7) business days in advance. Capital equipment exceeding 500 lbs requires a freight elevator reservation and a dedicated loading dock slot. The supplier is responsible for all packaging, crating, and insurance during transit to the Los Angeles facility. The Academic Researcher's laboratory manager, Mr. James Okafor, shall be the designated receiving contact on-site.
