1. Scope of Purchase Order — Accountant ServicesThis Purchase Order is issued by Meridian Corporate Solutions S.A., a company duly registered in the Crossroads Bank for Enterprises (KBO/BCE) in Belgium Brussels, to formally request and authorize the procurement of professional Accountant services from Brussels Accountant & Advisory BVBA. The engagement of this Accountant is required to ensure full compliance with Belgian fiscal legislation, the regulations of the Brussels-Capital Region, and the reporting obligations imposed by the Belgian Federal Public Service Finance (FPS Finance) and the National Institute for Accounting (INAO/INAA).

3.1 Validity: This Purchase Order is valid for a period of twelve (12) months from the date of acceptance, commencing on 1 July 2025 and expiring on 30 June 2026. The Accountant services described herein shall be rendered exclusively for the Belgian Brussels operations of the Purchasing Entity unless otherwise agreed in writing.
3.2 Payment Terms: Invoices issued by the Accountant shall be payable within thirty (30) calendar days from the date of invoice, by bank transfer to the account designated by Brussels Accountant & Advisory BVBA. Late payments shall accrue interest at the rate prescribed by the Belgian Law of 2 August 2002 on late payment in commercial transactions, as applicable in Belgium Brussels.
3.3 Professional Obligations of the Accountant: The Accountant shall perform all duties in strict compliance with the professional code of ethics established by the Belgian Institute of Chartered Accountants and Tax Advisors (IBB/IBT) and the regulations of the National Institute for Accounting (INAO/INAA). The Accountant shall maintain full confidentiality of all financial data, trade secrets, and commercially sensitive information in accordance with the Belgian Data Protection Act and the GDPR as implemented in Belgium.
3.4 Place of Performance: All services under this Purchase Order shall be performed at the offices of the Purchasing Entity located in Belgium Brussels, or remotely as mutually agreed. The Accountant shall be available for on-site meetings in Brussels a minimum of two (2) days per month.
3.5 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Brussels, Belgium Brussels, unless mandatory provisions of Belgian law provide otherwise.
3.6 Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. Upon termination, the Accountant shall deliver all books, records, and financial documents in their possession to the Purchasing Entity within fifteen (15) days.
3.7 Insurance: The Accountant shall maintain professional indemnity insurance with a minimum coverage of EUR 1,000,000 per claim, as required for Accountant practitioners registered in Belgium Brussels.
4. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of Accountant services in Belgium Brussels. This document constitutes a binding commercial agreement under Belgian law.
