This Purchase Order is issued by Pacific Northwest Financial Group Inc. (hereinafter referred to as the "Purchaser") to Meridian Accounting & Advisory Services Ltd. (hereinafter referred to as the "Vendor") for the engagement of a qualified Accountant to perform comprehensive financial, tax, and compliance services. This Purchase Order governs all terms, conditions, deliverables, and payment obligations related to the professional Accountant services to be rendered within the jurisdiction of Canada Vancouver, British Columbia, and in accordance with applicable federal and provincial legislation.

Payment for all services outlined in this Purchase Order shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the Vendor's designated bank account in Canada Vancouver. Invoices shall be submitted monthly within five (5) business days of the end of each service period. Payment is due within thirty (30) days of the invoice date. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with the British Columbia Interest Act. The Purchaser reserves the right to withhold payment for any deliverables not meeting the professional standards expected of a licensed Accountant in Canada Vancouver.

5.1 This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in the Canada Vancouver jurisdiction. Any disputes arising from this Purchase Order shall be resolved through arbitration in Vancouver, British Columbia, in accordance with the British Columbia Arbitration Act.

5.2 The Accountant engaged under this Purchase Order shall maintain professional liability insurance with a minimum coverage of $5,000,000 CAD and shall provide a certificate of insurance upon request. The Accountant shall comply with all confidentiality obligations under the Personal Information Protection Act (PIPA) of British Columbia and the Canada Privacy Act.

5.3 The Vendor warrants that the Accountant performing services under this Purchase Order holds a valid CPA, CA designation and is in good standing with the BCICPA. Any lapse in professional registration shall constitute a material breach of this Purchase Order.

5.4 All work product, financial records, and data generated in connection with this Purchase Order shall remain the exclusive property of the Purchaser. The Accountant shall not disclose any proprietary financial information to third parties without prior written consent.

5.5 This Purchase Order may be amended only by mutual written agreement of both parties. Termination may be effected by either party with thirty (30) days written notice, subject to payment for services rendered up to the termination date.

5.6 The Vendor shall comply with all applicable employment, tax, and regulatory requirements in Canada Vancouver, including but not limited to the Canada Labour Code, the British Columbia Employment Standards Act, and all Canada Revenue Agency directives.
