This Purchase Order is issued by Al-Nakheel Business Solutions W.L.L., a registered commercial entity operating in Kuwait Kuwait City, to formally procure the professional services of a qualified Accountant. The Accountant engaged under this Purchase Order shall be responsible for the full spectrum of financial accounting, bookkeeping, tax compliance, and statutory reporting duties on behalf of the purchasing entity. The services described herein are to be rendered exclusively within the jurisdiction of Kuwait Kuwait City, in full compliance with the laws of the State of Kuwait, including but not limited to the Kuwait Tax Law (Law No. 27 of 2023), the Companies Law, and the regulations issued by the Public Authority for Manpower (PAM) and the Ministry of Finance of Kuwait.

The Accountant engaged pursuant to this Purchase Order shall perform the following duties and responsibilities at the designated office in Kuwait Kuwait City:

Maintain and update the general ledger, subsidiary ledgers, and all supporting financial records in accordance with International Financial Reporting Standards (IFRS) as adopted in Kuwait.
Prepare monthly, quarterly, and annual financial statements, including the balance sheet, income statement, cash flow statement, and statement of changes in equity.
File all mandatory tax returns, including Value Added Tax (VAT) returns at the 5% rate applicable in Kuwait, with the Authority for Public Revenue (APR) in Kuwait Kuwait City, within the statutory deadlines.
Reconcile bank accounts, manage accounts payable and accounts receivable, and ensure accurate payroll processing for all employees of the entity.
Prepare and submit the annual audited financial statements to the Ministry of Commerce and Industry in Kuwait Kuwait City for company registration renewal.
Provide monthly management reports and financial analysis to the Board of Directors of Al-Nakheel Business Solutions W.L.L.
Ensure full compliance with Kuwaiti labor law regarding employee end-of-service benefits, social insurance contributions, and statutory deductions.
Assist in the preparation of budget forecasts, cash flow projections, and cost-control analyses for the fiscal year 2025–2026.
Maintain all accounting records in both Arabic and English, as required by Kuwaiti commercial law for entities operating in Kuwait Kuwait City.

This Purchase Order constitutes a binding agreement between Al-Nakheel Business Solutions W.L.L. (the "Buyer") and Al-Rashid Professional Accounting Services LLC (the "Supplier") for the provision of Accountant services in Kuwait Kuwait City.
The Accountant assigned to this Purchase Order must hold a valid professional license issued by the Kuwait Institute of Certified Public Accountants (KICPA) and a valid work permit issued by the Public Authority for Manpower in Kuwait Kuwait City.
All services under this Purchase Order shall be performed at the Buyer's premises located in Kuwait Kuwait City, unless otherwise agreed in writing by both parties.
The Supplier shall ensure that the Accountant maintains strict confidentiality regarding all financial data, trade secrets, and proprietary information of the Buyer. A Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of services.
Payment shall be made in Kuwaiti Dinars (KWD) via bank transfer to the Supplier's designated account at Kuwait National Bank, Kuwait Kuwait City branch, within thirty (30) calendar days of receipt of a valid invoice.
The Buyer reserves the right to request a replacement of the assigned Accountant if performance does not meet the standards outlined in this Purchase Order, with a written notice of no less than fourteen (14) days.
This Purchase Order is governed by and shall be interpreted in accordance with the laws of the State of Kuwait. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Kuwait Kuwait City.
The Supplier shall indemnify the Buyer against any penalties, fines, or losses incurred due to the Accountant's negligence, error, or failure to comply with Kuwaiti tax and commercial regulations.
This Purchase Order may be amended only by mutual written consent of both parties. No oral modifications shall be valid or enforceable.
The term of this Purchase Order shall be for one (1) fiscal year, commencing on 01 July 2025 and expiring on 30 June 2026, unless renewed in writing by both parties at least thirty (30) days prior to expiration.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Accountant in Kuwait Kuwait City. This Purchase Order is effective upon the signature of both the authorized representative of the Buyer and the authorized representative of the Supplier.
