This Purchase Order is issued by Lagos Continental Enterprises Ltd., a duly registered company operating in Nigeria Lagos, to formally engage the services of a qualified Accountant for the provision of comprehensive financial, accounting, and tax advisory services. This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Accountant service provider for the duration and scope of work outlined below. All services shall be rendered in accordance with the standards set by the Institute of Chartered Accountants of Nigeria (ICAN) and the Financial Reporting Council of Nigeria (FRC).

Terms and Conditions of This Purchase Order

  1. Scope of Engagement: The Accountant shall provide all services listed above exclusively for the Nigeria Lagos operations of Lagos Continental Enterprises Ltd. The Accountant shall maintain strict confidentiality of all financial records, client data, and proprietary business information in accordance with the Nigerian Data Protection Regulation (NDPR) 2019.
  2. Payment Terms: Payment shall be made on a monthly basis within fourteen (14) calendar days of receipt of a valid invoice from the Accountant. Payment shall be made via bank transfer to the account designated by Nwosu & Associates Chartered Accountants. All amounts are stated in Nigerian Naira (NGN) and are inclusive of applicable Value Added Tax (VAT) at the prevailing rate of 7.5% as administered by the Federal Inland Revenue Service in Nigeria Lagos.
  3. Performance Standards: The Accountant shall perform all duties in accordance with the International Financial Reporting Standards (IFRS), the Companies and Allied Matters Act (CAMA) 2020, and all applicable tax laws of the Federal Republic of Nigeria. All filings with FIRS, LIRS, CAC, and the National Pension Commission (PenCom) shall be submitted before their statutory deadlines.
  4. Reporting: The Accountant shall submit a comprehensive monthly management report to the CEO of Lagos Continental Enterprises Ltd. no later than the 10th business day of the following month. Quarterly reports shall be delivered within twenty (20) days of quarter-end.
  5. Termination: Either party may terminate this Purchase Order by providing thirty (30) days written notice. Upon termination, the Accountant shall deliver all company records, ledgers, and documents in their possession to the Purchasing Entity within seven (7) days.
  6. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation in Nigeria Lagos. If mediation fails, the matter shall be referred to arbitration under the Arbitration and Conciliation Act (Cap A18, LFN 2004), with the seat of arbitration in Nigeria Lagos.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, with specific reference to the commercial and tax regulations applicable in Nigeria Lagos.
  8. Insurance and Indemnity: The Accountant shall maintain professional indemnity insurance with a minimum cover of ₦50,000,000.00 throughout the duration of this Purchase Order and shall indemnify the Purchasing Entity against any loss arising from professional negligence or breach of this agreement.
