This Purchase Order is issued by Vostok Industrial Holdings JSC to formally procure the services of a qualified Accountant to be stationed and performing duties within the Moscow, Russia office. The engagement of this Accountant is necessary to ensure full compliance with the Federal Tax Service of the Russian Federation (FNS RF), to manage the company's general ledger, to prepare monthly and quarterly financial reporting in accordance with Russian Accounting Standards (RAS) and International Financial Reporting Standards (IFRS), and to oversee all intercompany transactions conducted through the Moscow headquarters.
The Accountant engaged under this Purchase Order shall be a certified professional holding a valid qualification in accounting and finance, with a minimum of five (5) years of experience in corporate accounting within the Russian Federation. The Accountant must be fluent in the Russian language for all statutory filings and possess working proficiency in English for reporting to the parent entity. The Accountant shall operate from the Moscow office located at 12 Tverskaya Street and shall be available for on-site work no fewer than five (5) business days per week during standard Moscow business hours (09:00–18:00 MSK).

- Commencement: The Accountant services shall commence on 1 July 2025 at the Moscow, Russia office. The supplier shall ensure the Accountant is fully onboarded, granted access to all financial systems, and briefed on Vostok Industrial Holdings' chart of accounts within the first five (5) business days.
- Payment Terms: Payment shall be made in monthly installments within fifteen (15) calendar days of receipt of a valid invoice issued by the supplier. All payments shall be transferred via wire transfer to the bank account specified in Section 2. Invoices must be issued in Russian and include the Purchase Order number PO-2025-RU-04782 for reconciliation purposes.
- Compliance: The Accountant shall ensure all filings, declarations, and reports are submitted to the Federal Tax Service (FNS) of the Moscow region, the Pension Fund (SFR), and the Social Insurance Fund in strict accordance with the Tax Code of the Russian Federation and applicable local Moscow regulations. Any penalties arising from late or incorrect filings attributable to the Accountant's negligence shall be borne by the supplier.
- Confidentiality: The Accountant and the supplier shall maintain strict confidentiality over all financial data, proprietary information, and trade secrets of Vostok Industrial Holdings JSC. A separate Non-Disclosure Agreement (NDA) registered under Russian civil law shall be executed prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall provide a full handover of all accounting records, work-in-progress files, and pending tax obligations to the Moscow office within ten (10) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved by the Arbitration Court of the City of Moscow, Russia.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or regulatory changes affecting the Moscow financial district.
- Substitution: The supplier shall not substitute the assigned Accountant without prior written consent from the Chief Financial Officer of Vostok Industrial Holdings JSC. Any replacement Accountant must meet or exceed the qualifications specified in Section 3.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Accountant services in Moscow, Russia, and that all terms set forth herein have been reviewed, understood, and accepted in full.
