Buyer (Procuring Entity): Al-Nakheel Trading & Logistics Co. Ltd., a company duly registered under the Commercial Registration of the Kingdom of Saudi Arabia, with its principal place of business located in Jeddah, Saudi Arabia. The Buyer is engaged in the import, distribution, and logistics of consumer goods across the western region of the Kingdom.

Supplier (Service Provider): Gulf Professional Accounting & Advisory Services LLC, a licensed professional services firm registered in Jeddah, Saudi Arabia, holding Professional Services License No. PSL-2024-1187 issued by the Ministry of Human Resources and Social Development. The Supplier provides qualified Accountant professionals and related financial advisory services to corporate clients throughout the Kingdom.

This Purchase Order is issued by Al-Nakheel Trading & Logistics Co. Ltd. to formally request and authorize the procurement of a full-time, qualified Accountant professional to be assigned to the Buyer's head office in Jeddah, Saudi Arabia. The Accountant shall be responsible for managing the company's general ledger, preparing monthly and quarterly financial statements, ensuring compliance with the Zakat, Tax and Customs Authority (ZATCA) regulations, overseeing accounts payable and receivable, and supporting the annual audit process in accordance with the International Financial Reporting Standards (IFRS) as adopted in Saudi Arabia.

The scope of this Purchase Order encompasses the recruitment, onboarding, and ongoing provision of the Accountant's professional services for a contract period of twelve (12) months, commencing on 1 July 2025 and concluding on 30 June 2026, unless extended by mutual written agreement between the parties.

All prices are quoted in Saudi Riyals (SAR). Payment shall be made via bank transfer to the Supplier's designated account in Jeddah, Saudi Arabia. Invoices are to be submitted monthly within five (5) business days of the end of each service period.

4.1 Payment Terms: Payment for each monthly service fee shall be due within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month in accordance with the Commercial Transactions Law of Saudi Arabia.

4.2 Performance Standards: The Accountant assigned under this Purchase Order shall hold a minimum of a Bachelor's degree in Accounting or Finance, possess a valid professional certification (CPA, ACCA, or equivalent recognized by the Saudi Organization for Chartered and Professional Accountants – SOCPA), and have a minimum of five (5) years of relevant experience in corporate accounting within the Kingdom of Saudi Arabia.

4.3 Compliance and Legal Obligations: The Supplier warrants that the Accountant shall comply with all applicable laws and regulations of Saudi Arabia, including but not limited to the Labor Law, the Zakat and Tax regulations, the Anti-Money Laundering Law, and the data protection provisions under the Personal Data Protection Law (PDPL) effective in Saudi Arabia. The Accountant shall maintain strict confidentiality of all financial records and proprietary information of the Buyer.

4.4 Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach, the aggrieved party may terminate with fourteen (14) days' notice. Upon termination, the Buyer shall be liable for all services rendered up to the effective date of termination.

4.5 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Jeddah, Saudi Arabia, or resolved through the Saudi Center for Commercial Arbitration (SCCA) if both parties agree in writing.

4.6 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government sanctions, or public health emergencies declared by the Saudi government.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of the Accountant services described herein, effective as of the date of the last signature.
