This Purchase Order is issued by Alpine Horizon AG to formally engage the services of a qualified Accountant and certified tax advisor based in Switzerland Zurich. The engagement covers the full fiscal year 2025 and is structured in accordance with the Swiss Code of Obligations (OR), the Swiss Federal Act on the Accounting and Financial Reporting of Companies (BGR), and the professional standards set forth by the Swiss Association of Accountants (SAA) and the International Federation of Accountants (IFAC). The Accountant shall operate from the vendor's registered office in the city of Switzerland Zurich and shall comply with all local cantonal and federal regulatory requirements applicable to the Canton of Zurich.

- Scope and Location: All services under this Purchase Order shall be rendered by the designated Accountant from the vendor's premises located in Switzerland Zurich. On-site meetings at the buyer's offices in Zurich shall be scheduled no more than twice per month unless otherwise agreed in writing.
- Professional Standards: The Accountant shall perform all duties in strict compliance with the Swiss Code of Obligations, the Swiss Federal Act on Accounting (BGR), Swiss GAAP FER, and the ethical code of the Swiss Association of Accountants. The Accountant shall maintain professional indemnity insurance with a minimum coverage of CHF 5,000,000.
- Confidentiality and Data Protection: The Accountant shall adhere to the Swiss Federal Act on Data Protection (nDSG) and shall not disclose any financial records, tax filings, or proprietary business information of Alpine Horizon AG to any third party without prior written consent. All digital records shall be stored on servers physically located within Switzerland Zurich or the Swiss Confederation.
- Payment Schedule: Invoices shall be issued monthly within five (5) business days of the end of each service period. Payment shall be made via bank transfer to the vendor's account at UBS AG, Zurich, within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the statutory rate of 5% per annum as defined under Article 104 of the Swiss Code of Obligations.
- Termination: Either party may terminate this Purchase Order with a written notice of three (3) months, to be delivered by registered mail to the respective addresses in Switzerland Zurich. In the event of termination, the Accountant shall deliver all completed work product, ledgers, and tax filings within fifteen (15) business days.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of the Canton of Zurich, Switzerland. The parties agree to attempt mediation through the Zurich Chamber of Commerce before initiating formal litigation.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the city of Switzerland Zurich, provided that written notice is given within seven (7) days of the event.
- Amendments: This Purchase Order may only be amended by a written addendum signed by both parties. Verbal agreements or informal communications shall not constitute a valid modification of the terms herein.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Accountant for the services described herein, to be performed in and governed by the laws of Switzerland Zurich and the Swiss Confederation.
