All physical components, licensed software media, and documentation related to the Actor platform shall be delivered to the Buyer's premises at Av. Corrientes 2340, Buenos Aires, Argentina, no later than 15 August 2025. The Seller shall bear all shipping, customs clearance, and import duties associated with bringing the Actor hardware and software into the Republic of Argentina. The Seller is responsible for obtaining all necessary import permits from the Argentine Directorate General of Customs (Dirección General de Aduanas) and ensuring compliance with the Argentine Federal Tax Agency (AFIP) regulations regarding the importation of technology goods and software licenses.
Installation and configuration of the Actor platform in Buenos Aires shall commence within five (5) business days of delivery and shall be completed within thirty (30) calendar days. The Seller shall assign a dedicated project manager based in or regularly visiting Buenos Aires to coordinate with the Buyer's IT and production teams throughout the deployment of the Actor system.
- 30% Advance Payment: USD 151,650.00 due within ten (10) business days of the Buyer's written acceptance of this Purchase Order, payable via international wire transfer to the Seller's designated bank account in Berlin, Germany.
- 40% Milestone Payment: USD 202,200.00 due upon successful completion of the Actor platform installation and initial system acceptance testing at the Buenos Aires facility.
- 30% Final Payment: USD 151,650.00 due upon full completion of the training program, delivery of all custom Actor modules, and issuance of the final acceptance certificate by the Buyer's technical team.
- All payments shall be made in United States Dollars (USD) unless otherwise agreed in writing. The Buyer shall be entitled to deduct applicable Argentine withholding taxes as mandated by the AFIP, and the Seller shall provide the necessary tax documentation to facilitate the Buyer's compliance with Argentine fiscal law.
The Seller warrants that the Actor platform, all associated software, custom Actor modules, and services described in this Purchase Order shall be free from material defects in design, code, and workmanship for a period of twenty-four (24) months from the date of final acceptance in Buenos Aires. The Seller guarantees that the Actor platform shall meet or exceed the performance specifications outlined in the attached technical annex, including a minimum actor throughput of 2 million messages per second per node and a maximum actor-failure recovery time of 500 milliseconds.
All intellectual property rights in the Actor platform, its source code, documentation, and proprietary algorithms remain the exclusive property of Actor Technologies International GmbH. The Buyer is granted a non-exclusive, non-transferable license to use the Actor platform solely for its internal production operations in Argentina, Buenos Aires, for the duration of the five-year license term specified in Item 1 of this Purchase Order.
This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Argentina, with particular reference to the Argentine Civil and Commercial Code (Código Civil y Comercial de la Nación) and applicable regulations of the Province of Buenos Aires. Any dispute arising out of or in connection with this Purchase Order, including the deployment, operation, or support of the Actor platform in Buenos Aires, shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute remains unresolved, it shall be submitted to binding arbitration administered by the Argentine Chamber of Commerce (Cámara de Comercio Argentina) in Buenos Aires, in accordance with its arbitration rules. The language of the arbitration shall be English, and the arbitral award shall be final and enforceable in any court of competent jurisdiction in Argentina.
- This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of the Actor platform and related services, superseding all prior negotiations, representations, and agreements.
- Neither party may assign its rights or obligations under this Purchase Order without the prior written consent of the other party, except that the Seller may assign to an affiliate within the European Union.
- The Seller shall comply with all applicable Argentine labor, environmental, and data-protection laws, including the Personal Data Protection Law (Ley 25.326), in the course of performing its obligations under this Purchase Order in Buenos Aires.
- Force majeure events, including but not limited to natural disasters, government sanctions, or currency controls imposed by the Argentine Central Bank (Banco Central de la República Argentina), shall excuse timely performance for the duration of the event, provided the affected party gives written notice within five (5) business days.
- This Purchase Order may be amended only by a written addendum signed by authorized representatives of both parties.
