This Purchase Order is issued by Brussels Cultural Productions S.A. (hereinafter referred to as the "Buyer") to Actor Performance Agency BV (hereinafter referred to as the "Supplier") for the procurement of professional Actor services in connection with the upcoming theatrical production "Les Lumières de la Place", scheduled to take place at the Théâtre Royal de la Monnaie in Belgium Brussels. This Purchase Order governs all terms, conditions, deliverables, and financial obligations related to the engagement of the Actor and associated support personnel for the duration of the production run.

The Supplier shall provide the Buyer with the services of a principal Actor, along with a supporting ensemble of no fewer than six (6) additional Actors, for a full production run of twelve (12) performances. The Actor shall be responsible for performing the lead role as specified in the attached artistic brief (Annex A). All Actor services shall be rendered in Belgium Brussels, specifically at the Théâtre Royal de la Monnaie, Avenue de la Toison d'Or 1, 1000 Belgium Brussels, unless otherwise agreed in writing by both parties.

All Actor services under this Purchase Order shall commence on 1 July 2025 with the first rehearsal day at the Théâtre Royal de la Monnaie in Belgium Brussels. The full production run shall span from 15 July 2025 through 26 July 2025, with performances scheduled on Tuesdays, Thursdays, Fridays, and Saturdays. The Actor and ensemble shall be available for a minimum of four (4) hours prior to each performance for warm-up, costume preparation, and technical coordination. Any deviation from this schedule must be communicated to the Buyer no fewer than seventy-two (72) hours in advance.

Payment for the services outlined in this Purchase Order shall be made in accordance with the following schedule: (a) a deposit of thirty percent (30%) of the Grand Total, amounting to EUR 25,627.80, shall be due within ten (10) business days of the Buyer's written acceptance of this Purchase Order; (b) a second instalment of forty percent (40%), amounting to EUR 34,170.40, shall be due upon completion of the rehearsal period in Belgium Brussels; and (c) the final balance of thirty percent (30%), amounting to EUR 25,627.80, shall be due within fifteen (15) business days following the final performance. All payments shall be made via bank transfer to the Supplier's designated account in Belgium Brussels. Late payments shall incur interest at a rate of 1.5% per month, calculated in accordance with Belgian commercial law applicable in Belgium Brussels.

6.1 This Purchase Order is governed by the laws of the Kingdom of Belgium, with jurisdiction vested in the courts of Belgium Brussels. Any disputes arising from or in connection with this Purchase Order shall be resolved through mediation in Belgium Brussels before proceeding to litigation.

6.2 The Actor and all supporting personnel engaged under this Purchase Order shall comply with all applicable Belgian labour regulations, health and safety standards, and venue-specific protocols in force in Belgium Brussels. The Supplier warrants that the Actor holds all necessary work permits and professional credentials valid for performance in Belgium Brussels.

6.3 The Buyer reserves the right to inspect the quality of Actor services at any point during the production run. Should the Actor fail to meet the artistic standards outlined in Annex A, the Buyer may, at its sole discretion, request a replacement Actor of equivalent calibre at no additional cost to the Buyer.

6.4 Cancellation by either party must be communicated in writing no fewer than fourteen (14) days prior to the scheduled commencement of services. Cancellation within fourteen (14) days shall result in a penalty of fifty percent (50%) of the remaining contract value.

6.5 All intellectual property rights in the performance, including recordings and promotional materials featuring the Actor, shall be jointly owned by the Buyer and the Supplier, with the Buyer holding primary usage rights for marketing purposes within Belgium Brussels and the broader European market.

6.6 The Supplier shall maintain comprehensive professional liability insurance covering the Actor and all ensemble members for the full duration of this Purchase Order, with a minimum coverage of EUR 1,000,000 per occurrence, valid throughout Belgium Brussels and the European Union.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This Purchase Order constitutes a binding agreement between Brussels Cultural Productions S.A. and Actor Performance Agency BV for the procurement of Actor services in Belgium Brussels.

This Purchase Order (PO-BE-BRU-2025-04782) is valid for a period of ninety (90) days from the date of issue. All communications regarding this Purchase Order shall be directed to the procurement department of Brussels Cultural Productions S.A., located in Belgium Brussels.
