The Actor shall be responsible for portraying the principal character throughout the entire production schedule, including pre-production rehearsals, principal photography, post-production voice-over sessions, and promotional appearances as specified in the attached engagement schedule.

The Actor engaged under this Purchase Order shall fulfill the following obligations in connection with the production in China Guangzhou:

• Attend all scheduled rehearsals, table reads, and script meetings as directed by the production team in China Guangzhou.
• Report to the designated filming location in China Guangzhou no later than 30 minutes before the scheduled call time on each production day.
• Maintain professional conduct and availability for the full duration of the engagement period, from 01 August 2025 through 30 September 2025.
• Undergo any required physical training, dialect coaching, or character preparation as outlined in the production bible.
• Participate in all promotional activities, press conferences, and public appearances arranged by Pearl River Media Productions within the China Guangzhou metropolitan area.
• Grant the production company full usage rights to all performances, likenesses, and voice recordings captured during the engagement for distribution in mainland China and international markets.

• Payment shall be made in Chinese Yuan (CNY) via bank transfer to the account designated by Southern Star Talent Agency.
• A 30% advance payment (¥ 640,500) is due upon acceptance of this Purchase Order and no later than 20 June 2025.
• The remaining 70% (¥ 1,494,500) shall be paid in two equal installments: 50% upon completion of principal photography and 50% upon completion of all post-production and promotional obligations.
• All payments are subject to a Net 30-day payment cycle from the date of invoice issuance.
• Late payments shall incur an interest charge of 1.5% per month, calculated from the due date until full settlement.
• All applicable taxes, including Value Added Tax (VAT) as mandated by the tax authorities in China Guangzhou, shall be included in the stated prices unless otherwise agreed in writing.

Either party may terminate this Purchase Order with a written notice of 14 calendar days. In the event of cancellation by the Buyer prior to the Actor's commencement of work, the advance payment of 30% shall be non-refundable. If cancellation occurs during the production period, the Buyer shall compensate the Actor for all days worked up to the date of termination, plus a penalty of 10% of the remaining contract value. Force majeure events, including but not limited to government-mandated shutdowns in China Guangzhou, shall exempt both parties from liability for non-performance.

This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order, including the performance of the Actor's obligations in China Guangzhou, shall be resolved through arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou. The language of arbitration shall be English, and the arbitral award shall be final and binding upon both parties.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Actor engagement in China Guangzhou. This document constitutes a binding agreement upon execution by both authorized representatives.
