All hardware delivery, on-site installation, and physical training sessions shall take place at the Buyer’s primary office located at Unter den Linden 42, 10117 Berlin, Germany. The Actor platform software deployment, cloud infrastructure provisioning, and all digital services shall be configured and operational within the Germany Berlin metropolitan area by the delivery deadline stated above. All data processing and storage related to this Purchase Order shall remain within the borders of Germany in compliance with the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).
- Payment Schedule: 30% advance payment upon signing of this Purchase Order; 40% upon successful deployment and go-live of the Actor platform in Berlin; 30% upon completion of the full training program and final acceptance sign-off.
- Payment Method: Bank transfer (SEPA) to the Seller’s account: Actor Solutions AG, IBAN: DE89 3704 0044 0532 0130 00, BIC: COBADEFFXXX, Bank: Commerzbank AG, Berlin Branch.
- Payment Due Date: Net 30 days from the date of invoice issuance for each milestone.
- Currency: All amounts are denominated in Euro (EUR). No foreign exchange adjustments shall apply as both parties are domiciled in Germany Berlin.
- Late Payment: Interest on overdue amounts shall accrue at the statutory rate under Section 288 of the German Civil Code (BGB), plus 8 percentage points for commercial transactions.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
- The Seller, Actor Solutions AG, warrants that the Actor platform and all associated services shall be free from material defects and shall perform in accordance with the specifications outlined in the attached technical annex (Annex A, not included in this document).
- The Seller shall comply with all applicable German and EU regulations, including but not limited to the GDPR, the German Supply Chain Due Diligence Act (LkSG), and the German Occupational Safety and Health Act (ArbSchG) for any on-site work performed in Berlin.
- Intellectual property rights to the Actor platform, its source code, algorithms, and proprietary methodologies remain the exclusive property of Actor Solutions AG. The Buyer is granted a non-transferable, non-exclusive license to use the Actor platform for internal business operations within Germany Berlin during the subscription term.
- Either party may terminate this Purchase Order with 60 days’ written notice in the event of a material breach by the other party that remains uncured after a 30-day remediation period.
- All communications regarding this Purchase Order shall be conducted in writing (email acceptable) and directed to the contact persons listed above. The official language of this Purchase Order is English; in case of any discrepancy, the English version shall prevail.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements relating to the Actor platform procurement for the Berlin operation.
