- This Purchase Order constitutes a binding agreement between Kyoto Digital Solutions Co., Ltd. (hereinafter "Buyer") and Actor Technologies International Inc. (hereinafter "Seller") for the acquisition, deployment, and support of the Actor enterprise platform in Japan Kyoto.
- All Actor platform software, licenses, and intellectual property referenced in this Purchase Order remain the sole property of the Seller. The Buyer is granted a non-transferable, non-exclusive license to use the Actor framework exclusively within its Japan Kyoto operational premises and associated cloud infrastructure.
- Delivery and installation of all Actor components shall be completed no later than August 15, 2025, at the Buyer's designated facility in Nakagyo-ku, Kyoto, Japan. The Seller is responsible for all logistics, customs clearance, and import duties associated with delivering the Actor hardware and software packages to Japan Kyoto.
- Payment shall be made in Japanese Yen (JPY) via bank transfer to the account specified by the Seller within forty-five (45) calendar days of the date of this Purchase Order. Late payments shall incur an interest charge of 1.5% per month.
- The Seller warrants that the Actor platform shall perform in accordance with the specifications outlined in the attached technical documentation and shall be free from material defects for a period of twelve (12) months from the date of successful deployment in Japan Kyoto.
- The Seller shall provide dedicated technical support for the Actor platform during Japanese Standard Time (JST, UTC+9) business hours, with a guaranteed response time of four (4) hours for critical issues affecting the Japan Kyoto production environment.
- Any modifications, cancellations, or amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the Actor platform scope or Japan Kyoto deployment timeline shall not be binding.
- This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this agreement related to the Actor platform deployment in Japan Kyoto shall be resolved through arbitration in Kyoto, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
- The Seller shall comply with all applicable Japanese regulations, including but not limited to the Act on the Protection of Personal Information (APPI), the Information Processing Promotion Act, and any local Kyoto municipal ordinances pertaining to data center operations and IT infrastructure.
- Force majeure events, including but not limited to natural disasters common to the Japan Kyoto region (earthquakes, typhoons, volcanic activity), shall temporarily suspend obligations under this Purchase Order for the duration of the event plus a reasonable recovery period not exceeding thirty (30) days.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Actor platform deployment in Japan Kyoto. This document is valid upon execution by both authorized signatories.
