This Purchase Order is issued by Nairobi Infrastructure & Automation Ltd. for the procurement of Actor brand industrial actuators, control modules, and associated automation hardware. The Actor product line has been selected following a comprehensive technical evaluation conducted by our engineering team in Kenya Nairobi. The Actor actuators are required for the Phase II expansion of the Nairobi Water and Sanitation Authority's automated valve control network, as well as for the new manufacturing facility under construction in the Athi River industrial zone adjacent to Kenya Nairobi.

All Actor units must comply with ISO 9001:2015 quality standards, IEC 61508 functional safety requirements, and the Kenya Bureau of Standards (KEBS) certification for industrial equipment imported into the Republic of Kenya. Each Actor actuator must be accompanied by a full technical data sheet, CE marking documentation, and a warranty certificate valid for a minimum of twenty-four (24) months from the date of delivery in Kenya Nairobi.

The supplier shall deliver all Actor goods to the designated receiving warehouse located at Plot 47, Industrial Area, Mombasa Road, Kenya Nairobi. Delivery shall be made on a CIF (Cost, Insurance, and Freight) basis to Mombasa Port, with subsequent inland transport to Kenya Nairobi arranged and paid for by the supplier. The total transit time from the date of this Purchase Order shall not exceed sixty (60) calendar days. The supplier is responsible for all customs clearance documentation, including the Bill of Lading, Commercial Invoice, Packing List, Certificate of Origin, and the KEBS pre-shipment inspection certificate required for the importation of industrial automation equipment into Kenya.

Upon arrival in Kenya Nairobi, the Buyer's quality assurance team will conduct a 48-hour inspection of all Actor units. Any items found to be damaged, defective, or non-conforming to the specifications outlined in this Purchase Order shall be replaced at the supplier's sole expense within thirty (30) days.

• Payment shall be made via irrevocable Letter of Credit (LC) issued by Equity Bank PLC, Kenya Nairobi, in favor of Actor Global Industrial Solutions GmbH.
• 30% advance payment upon confirmation of this Purchase Order and issuance of the Letter of Credit.
• 60% balance payment upon presentation of shipping documents and proof of delivery at Mombasa Port.
• 10% retention payment to be released after successful commissioning of all Actor equipment at the Kenya Nairobi site and issuance of a Final Acceptance Certificate.
• All payments shall be made in United States Dollars (USD) unless otherwise agreed in writing.
• Late payments shall attract interest at the rate of 2% per month, calculated from the due date.

The supplier warrants that all Actor products delivered under this Purchase Order shall be free from defects in material and workmanship for a period of twenty-four (24) months from the date of successful commissioning in Kenya Nairobi. The warranty covers replacement of defective Actor components, on-site repair services, and remote technical support via the Actor Global support portal. The supplier shall maintain a dedicated technical support representative for the Kenya Nairobi region for the duration of the warranty period, ensuring response times of no more than four (4) business hours for critical failures and twenty-four (24) hours for non-critical issues.

• This Purchase Order is governed by the laws of the Republic of Kenya and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
• Any disputes arising from this Purchase Order shall be resolved through arbitration in Kenya Nairobi under the rules of the Arbitration Centre of the East African Court of Justice.
• The supplier shall not subcontract any portion of the Actor manufacturing or delivery obligations without prior written consent from the Buyer.
• Force majeure events, including but not limited to natural disasters, government sanctions, or port closures affecting Mombasa Port or Kenya Nairobi, shall extend delivery timelines proportionally.
• This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the Actor equipment procurement.
• Confidentiality obligations shall survive the termination of this Purchase Order for a period of five (5) years.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Actor industrial automation equipment for use in Kenya Nairobi. This document is executed in two (2) original copies, one for each party.
