- Governing Law: This Purchase Order and the associated Actor engagement agreement shall be governed by and construed in accordance with the laws of New Zealand, specifically the Contract and Commercial Law Act 2017 and the Copyright Act 1994, as applicable to the Auckland, New Zealand jurisdiction.
- Payment Terms: Payment shall be made in three instalments: 40% upon execution of this Purchase Order, 40% upon completion of principal photography (expected 12 August 2025), and 20% upon final delivery of all post-production obligations. All payments shall be made via bank transfer to the account nominated by Southern Star Talent Management, Auckland, New Zealand, within 14 calendar days of invoice receipt.
- Performance Obligations: The Actor agrees to be available for all scheduled shooting days, rehearsals, and publicity events as outlined in the attached Call Sheet Schedule (Appendix A). The Actor shall report to the designated Auckland production locations no later than 30 minutes prior to the stated call time. Failure to appear without valid medical or force majeure justification shall result in a penalty of 10% of the daily fee per missed day.
- Intellectual Property: All performances, recordings, and visual materials captured during the production in New Zealand Auckland shall be the sole intellectual property of Harbourlight Productions Ltd. The Actor grants an irrevocable, worldwide, perpetual licence for the use, distribution, and exploitation of their likeness and performance in all media, now known or hereafter devised.
- Confidentiality: The Actor and the agency shall maintain strict confidentiality regarding the script, plot developments, co-actor identities, and all production details pertaining to "Tides of the Southern Cross" until the official public release date, as determined by the Buyer. Breach of confidentiality shall entitle the Buyer to seek injunctive relief and liquidated damages of NZD $50,000 per breach.
- Health, Safety & Compliance: The Actor shall comply with all New Zealand Health and Safety at Work Act 2015 requirements on set. The Actor shall attend a mandatory safety induction at Harbourlight Studios, Auckland, prior to the first shooting day. The Actor warrants that they hold a valid New Zealand driver's licence and are in good physical and mental health to perform the duties required.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters (earthquakes, volcanic activity, severe weather common to New Zealand Auckland), government-imposed restrictions, or pandemics. Affected parties must notify the other within 48 hours of the event occurring.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be referred to mediation under the New Zealand Dispute Resolution Service in Auckland. If mediation fails, the matter shall be determined by the District Court of Auckland, New Zealand.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice if the other party commits a material breach and fails to remedy such breach within 7 days of written notice. Upon termination, the Actor shall be compensated for all services rendered up to the date of termination, plus a cancellation fee of 15% of the remaining contract value.
- Anti-Bribery & Ethics: The Actor and agency confirm that no part of the fees set out in this Purchase Order has been or will be paid to any public official or third party in New Zealand Auckland or elsewhere in contravention of the Crimes Act 1961 (New Zealand) or any applicable anti-corruption legislation.
By signing below, the parties acknowledge and agree to all terms, conditions, and line items set forth in this Purchase Order for the Actor engagement in New Zealand Auckland.
