- Acceptance: This Purchase Order constitutes a binding offer by Lagos Creative Industries Ltd. for the acquisition of Actor production systems and associated services. The Seller's acceptance of this Purchase Order shall be confirmed in writing within five (5) business days of receipt.
- Delivery: All physical Actor equipment shall be delivered DDP (Delivered Duty Paid) to the Buyer's premises at 14 Adeola Odeku Street, Victoria Island, Nigeria Lagos, within sixty (60) calendar days from the date of this Purchase Order. Digital Actor software licenses shall be delivered within ten (10) business days.
- Payment: Payment of the full Purchase Order amount of NGN 99,219,000.00 shall be made within forty-five (45) days of the date of this Purchase Order via wire transfer to the Seller's designated bank account. All payments shall be processed through the Central Bank of Nigeria-compliant banking channels in Nigeria Lagos.
- Warranty: The Seller warrants that all Actor hardware units delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery in Nigeria Lagos. Software licenses carry a twelve (12) month defect liability period.
- Installation & Commissioning: The Seller shall provide on-site installation, calibration, and commissioning of all Actor systems at the Buyer's Nigeria Lagos facility. Installation shall be completed within fifteen (15) business days of physical delivery. The Seller's engineers shall travel to Nigeria Lagos at the Seller's expense.
- Training: As specified in Line Item 5, the Seller shall conduct comprehensive training for the Buyer's Nigeria Lagos technical and creative staff on the full Actor product suite. Training shall be delivered in English and shall cover all modules of the Actor Studio Suite.
- Compliance: All Actor products supplied under this Purchase Order shall comply with the standards of the Nigerian Communications Commission (NCC) and the Standards Organisation of Nigeria (SON). The Seller shall provide all necessary certificates of conformity for customs clearance at the Nigeria Lagos port of entry.
- Force Majeure: Neither party shall be liable for delays in fulfilling obligations under this Purchase Order caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions affecting trade with Nigeria Lagos, or port closures at Apapa or Tin Can Island.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos under the rules of the Lagos Court of Arbitration.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and technical specifications contained in this Purchase Order. No information relating to the Actor systems procured shall be disclosed to third parties without prior written consent.
