All Actor equipment covered under this Purchase Order shall be delivered to the Doha Grand Theatre & Entertainment Complex, Corniche Road, Doha, Qatar, no later than 15 August 2025. The supplier, Actor Global Performance Technologies Ltd., shall bear all costs associated with international shipping, customs clearance at Hamad International Airport (HIA) or Doha Port, and final delivery to the venue. All Actor products must be packaged in accordance with IATA regulations for air freight and must include full documentation including certificates of origin, conformity certificates, and Qatar customs declarations. The supplier shall coordinate with the buyer's logistics team in Qatar Doha at least 30 days prior to the scheduled delivery date to confirm receiving schedules and site access arrangements.
4. PAYMENT TERMSPayment for this Purchase Order shall be structured as follows: (a) 30% advance payment (QAR 690,000.00) due within 14 business days of the buyer's written acceptance of this Purchase Order; (b) 50% (QAR 1,150,000.00) due upon confirmed delivery and physical inspection of all Actor items at the Doha venue; and (c) 20% (QAR 460,000.00) due upon successful completion of installation, commissioning, and the operator training program. All payments shall be made via irrevocable letter of credit issued by a Qatar-based bank in favor of Actor Global Performance Technologies Ltd. The currency of this Purchase Order is the Qatari Riyal (QAR), and all amounts are inclusive of applicable duties unless otherwise stated.
5. TERMS AND CONDITIONS- This Purchase Order is governed by the laws of the State of Qatar. Any disputes arising from this Purchase Order shall be resolved through arbitration in Doha, Qatar, in accordance with the rules of the Qatar International Arbitration Centre (QIAC).
- All Actor products shall carry a minimum 36-month warranty from the date of commissioning in Qatar Doha. The warranty covers defects in materials, workmanship, and software performance under normal theatrical operating conditions.
- The supplier shall provide a dedicated technical support representative based in or accessible to the Doha region for the duration of the warranty period, with a maximum response time of 4 hours for critical system failures.
- Any deviation from the specifications stated in this Purchase Order must be approved in writing by the buyer's technical director prior to shipment. Unauthorized substitutions of Actor components are strictly prohibited.
- The supplier shall comply with all Qatar Doha municipal regulations, fire safety codes, and electrical standards (Qatar Electricity & Water Authority – KEWA) during the installation phase.
- Intellectual property rights for all Actor software and firmware remain with Actor Global Performance Technologies Ltd. The buyer is granted a non-transferable, site-specific license for use at the Doha Grand Theatre venue only.
- Force majeure events, including but not limited to extreme weather conditions in Qatar, shall extend delivery timelines by a period equivalent to the duration of the event, provided written notice is given within 48 hours.
- This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations, including warranty and support commitments, have been fully discharged.
