2. The Actor shall arrive in Sudan Khartoum no later than 8 August 2025 to commence the 14-day rehearsal period. Failure to arrive by the stipulated date shall constitute a material breach of this Purchase Order, entitling the Purchasing Party to terminate the agreement and seek damages.
3. All performances by the Actor shall take place at the National Theatre of Sudan Khartoum, located on El-Mahdi Street, Bahri District. The Actor is expected to be present at the venue no less than two (2) hours prior to each scheduled show for sound checks, costume fitting, and final rehearsal.
4. The Actor shall comply with all local regulations and cultural sensitivities applicable in Sudan Khartoum. The Supplying Party warrants that the Actor holds all necessary work permits, visas, and professional credentials required to perform legally within the Republic of Sudan.
5. Intellectual property rights pertaining to the production "Voices of the Nile: A Sudan Khartoum Story" shall remain the exclusive property of the Khartoum Cultural Arts Foundation. The Actor grants a limited, non-transferable license to use their likeness and performance recordings solely for promotional purposes within Sudan Khartoum for a period of twelve (12) months following the final performance.
6. The Supplying Party shall provide a full medical clearance certificate for the Actor, confirming fitness to perform, no later than 10 days prior to the Actor's arrival in Sudan Khartoum.
7. Any disputes arising from this Purchase Order shall be resolved through arbitration in Sudan Khartoum in accordance with the Sudanese Commercial Arbitration Act. The governing law of this Purchase Order shall be the laws of the Republic of Sudan.

Payment for the services and goods outlined in this Purchase Order shall be made in Sudanese Pounds (SDG) via bank transfer to the account of Nile Delta Performance Group Ltd. The payment schedule is as follows:

• 30% Advance Payment (298,410 SDG): Due within five (5) business days of the Actor's confirmed arrival in Sudan Khartoum.
• 50% Mid-Performance Payment (497,350 SDG): Due after the completion of the sixth (6th) stage show.
• 20% Final Payment (198,940 SDG): Due within ten (10) business days following the final performance and completion of all media appearances.

Late payments shall incur an interest charge of 2% per month, calculated from the due date. The Purchasing Party reserves the right to withhold payment if the Actor fails to meet the performance standards outlined in the attached Service Level Agreement.

The Actor's accommodation shall be arranged at the Nile View Grand Hotel, Omdurman, Sudan Khartoum, for the duration of the engagement (21 nights). Daily transportation between the hotel and the National Theatre in Sudan Khartoum shall be provided by the Purchasing Party via a dedicated vehicle. All customs clearance for the Actor's personal effects and performance costumes shall be handled by the Supplying Party at no additional cost to the Purchasing Party.
