The Actor shall commence all rehearsal activities no later than 1 September 2025 at the Theaterhaus rehearsal studios located at Theaterstrasse 12, 8001 Switzerland Zurich. The first public performance is scheduled for 15 September 2025, and the final performance shall take place on 30 November 2025. All dates are subject to the confirmed production calendar issued by Zurich Stage Productions AG. The Actor is expected to be available for a minimum of 10 hours per day during the rehearsal period and 6 hours per day during the performance run, inclusive of call times, warm-ups, and post-show obligations.

• Payment Schedule: 40% of the total Purchase Order value (CHF 34,011.66) shall be due upon signing of this Purchase Order and confirmation of the Actor's engagement. The remaining 60% (CHF 51,017.49) shall be paid in two equal installments: 30% due on 1 October 2025 and 30% due on 15 November 2025.
• Payment Method: All payments shall be made via bank transfer to the account designated by the Actor. The account details are: IBAN CH93 0076 2011 6238 5295 7, BIC POFICHBEXXX, Bank: PostFinance, Switzerland Zurich.
• Payment Terms: Net 14 days from the date of invoice. Late payments shall incur interest at the statutory rate of 5% per annum as defined under Swiss law.
• Currency: All amounts are stated in Swiss Francs (CHF). No foreign currency conversions shall apply.
• Tax Compliance: The Buyer shall withhold applicable social security contributions (AHV/IV/EO) as required by Swiss employment and self-employment regulations in the Canton of Zurich.

The Actor agrees to the following binding obligations under this Purchase Order:

• Maintain professional availability for all scheduled rehearsals, performances, and promotional events in Switzerland Zurich without unexcused absence.
• Adhere to the production schedule and any reasonable modifications communicated by the Director or Stage Manager no fewer than 48 hours in advance.
• Comply with all health and safety regulations applicable to theatrical venues in Switzerland Zurich, including fire safety protocols and emergency evacuation procedures.
• Grant Zurich Stage Productions AG the right to use the Actor's name, likeness, and performance footage for marketing, archival, and broadcast purposes within Switzerland and the European Economic Area for a period of five (5) years.
• Maintain adequate professional liability insurance coverage for the duration of the engagement, with a minimum coverage of CHF 1,000,000 per occurrence.
• Provide a valid Swiss work permit or residence permit (if applicable) prior to the commencement of services, in compliance with the Federal Act on Foreign Nationals and Integration (FNI) as administered in Switzerland Zurich.

Either party may terminate this Purchase Order with a written notice of 30 days. In the event of cancellation by the Buyer prior to the rehearsal commencement date, the Actor shall be compensated for 50% of the total Purchase Order value. Cancellation after rehearsals have commenced shall result in full payment of all services rendered up to the date of termination, plus a cancellation fee of 20% of the remaining contract value. Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated venue closures in Switzerland Zurich, shall exempt both parties from liability for non-performance.

This Purchase Order shall be governed by and construed in accordance with the laws of Switzerland, specifically the Swiss Code of Obligations (OR) and the applicable cantonal regulations of the Canton of Zurich. Any disputes arising from or in connection with this Purchase Order shall be resolved through binding arbitration administered by the Swiss Arbitration Centre (SAC) in Switzerland Zurich, in the German language. The parties consent to the exclusive jurisdiction of the courts of the Canton of Zurich for any interim or injunctive relief.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Actor by Zurich Stage Productions AG for the theatrical production in Switzerland Zurich.
