4. DELIVERY AND INSTALLATION TERMS

All Actor system components shall be delivered to the buyer's facility at Plot 17, Mbezi Beach Road, Kariakoo, Tanzania Dar es Salaam, no later than 30 August 2025. Delivery shall be on DDP (Delivered Duty Paid) basis, meaning the seller bears all costs, risks, and responsibilities including export and import clearance, customs duties, and transportation to the named destination in Tanzania Dar es Salaam.
The seller shall provide a minimum of fourteen (14) calendar days' written notice prior to the scheduled delivery date to allow the buyer to prepare the receiving site and coordinate with the Tanzania Revenue Authority (TRA) for customs documentation.
Installation and commissioning of the Actor system shall commence within five (5) working days of delivery and shall be completed within ten (10) working days. The seller shall assign a certified Actor systems engineer to be present on-site in Tanzania Dar es Salaam for the full duration of installation.
All packaging must be suitable for tropical climate conditions and the logistics infrastructure available in Tanzania Dar es Salaam, including road transport from Dar es Salaam Port or Julius Nyerere International Airport (JNIA) to the final delivery site.

5. PAYMENT TERMS

30% Advance Payment (USD 85,248.00 / TZS 225,907,200.00) due within ten (10) working days of the buyer's written acceptance of this Purchase Order.
50% Progress Payment (USD 142,080.00 / TZS 376,512,000.00) due upon confirmed shipment of all Actor system components, evidenced by the Bill of Lading or Air Waybill.
20% Final Payment (USD 56,832.00 / TZS 150,604,800.00) due within fifteen (15) working days following successful commissioning, final acceptance testing, and delivery of the signed Commissioning Certificate in Tanzania Dar es Salaam.
All payments shall be made via irrevocable letter of credit (LC) issued by a commercial bank in Tanzania Dar es Salaam in favour of the seller, or by wire transfer to the seller's designated bank account. The buyer reserves the right to withhold the final 20% payment until all warranty obligations and training commitments have been fully satisfied.

6. WARRANTY AND AFTER-SALES SUPPORT

The seller warrants that all Actor system hardware shall be free from defects in materials and workmanship for a period of thirty-six (36) months from the date of commissioning in Tanzania Dar es Salaam.
During the warranty period, the seller shall provide remote technical support within four (4) business hours and, where remote resolution is not possible, shall dispatch a qualified Actor technician to Tanzania Dar es Salaam within seven (7) calendar days at no additional cost to the buyer.
The extended maintenance contract (Item 10) shall cover all routine servicing, firmware updates, and replacement of wear-and-tear components for a period of twenty-four (24) months following the expiry of the standard warranty.

7. GENERAL CONDITIONS

This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, with particular reference to the Tanzania Sale of Goods Act, Cap. 255, and the applicable provisions of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
Any disputes arising from this Purchase Order shall be resolved through arbitration in Tanzania Dar es Salaam in accordance with the rules of the Tanzania Centre for Arbitration and Mediation (TCAM). The language of arbitration shall be English.
The seller shall comply with all applicable Tanzanian import regulations, including but not limited to the requirements of the Tanzania Revenue Authority, the Tanzania Bureau of Standards, and the Tanzania Communications Regulatory Authority for all electronic and telecommunications equipment.
Neither party shall be liable for delays or failures in performance resulting from acts of God, war, civil unrest, government sanctions, or other force majeure events. In the event of force majeure, the affected party shall notify the other in writing within forty-eight (48) hours.
This Purchase Order constitutes the entire agreement between the parties with respect to the purchase and supply of the Actor system and supersedes all prior negotiations, representations, and agreements.
