This Purchase Order is issued by Northgate Theatre Productions Ltd. for the engagement of a professional Actor to perform principal roles in the summer theatrical production titled "The Manchester Chronicle", scheduled to run at the Royal Exchange Theatre, 12 Cross Street, Manchester, M2 1RP, United Kingdom. The Actor shall be responsible for delivering a full performance schedule spanning the duration of the production, including rehearsals, previews, and all scheduled public performances. The Actor must hold a valid UK work permit or be a British citizen and must be available for the entire engagement period without interruption. All performance obligations under this Purchase Order shall be carried out within the United Kingdom Manchester metropolitan area unless otherwise agreed in writing by both parties.

The Actor engagement under this Purchase Order shall commence on 01 August 2025 with the first rehearsal day at the Royal Exchange Theatre, Manchester, United Kingdom. The full production run is scheduled to conclude on 28 February 2026. All Actors engaged pursuant to this Purchase Order must report to the designated rehearsal space no later than 09:30 hours on each scheduled working day. Performance call times for public shows shall be 17:00 hours, with the curtain rising at 19:30 hours. The supplier, Sterling Performance Talent Agency, is responsible for ensuring that each Actor is fully prepared, insured, and available for the entire duration specified in this Purchase Order. Any substitution of an Actor must be approved in writing by Northgate Theatre Productions Ltd. no fewer than fourteen (14) calendar days prior to the scheduled performance date.

  1. This Purchase Order constitutes a binding agreement between Northgate Theatre Productions Ltd. (the "Buyer") and Sterling Performance Talent Agency (the "Supplier") upon acceptance by both parties. All terms herein shall be governed by the laws of England and Wales, United Kingdom.
  2. The Supplier warrants that each Actor engaged under this Purchase Order is of professional standing, free from any contractual obligations that would conflict with the performance schedule, and in good physical and mental health sufficient to fulfil the demands of the role.
  3. Payment shall be made by direct bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-MCR-0487). Late payments shall accrue interest at the rate of 4% per annum above the Bank of England base rate.
  4. The Supplier shall maintain comprehensive public liability insurance of no less than £10,000,000 and professional indemnity insurance of no less than £5,000,000 for the duration of the Actor engagement. Certificates of insurance shall be provided to the Buyer prior to the commencement of rehearsals.
  5. Each Actor shall be subject to a standard non-disclosure agreement (NDA) covering all production materials, scripts, staging directions, and confidential business information pertaining to the production. The NDA shall remain in force for a period of twenty-four (24) months following the final performance.
  6. The Buyer reserves the right to cancel this Purchase Order in whole or in part with no fewer than twenty-eight (28) days' written notice. In the event of cancellation, the Supplier shall be compensated for all reasonable, documented costs incurred up to the date of cancellation, not to exceed 15% of the total Purchase Order value.
  7. All disputes arising from or in connection with this Purchase Order shall be resolved through mediation in Manchester, United Kingdom, before either party may initiate legal proceedings in the courts of England and Wales.
  8. The Supplier shall comply with all applicable UK employment law, health and safety regulations, and the Equality Act 2010 in relation to the engagement and treatment of each Actor.
  9. Any amendments to this Purchase Order must be made in writing and signed by authorised representatives of both parties. Verbal agreements shall not be binding.

This Purchase Order is issued and authorised by the undersigned on behalf of Northgate Theatre Productions Ltd. The Supplier is requested to confirm acceptance of all terms and conditions by signing and returning a copy of this document within five (5) business days of receipt. Failure to confirm acceptance within the stipulated period shall be deemed a rejection of this Purchase Order.
