This Purchase Order is issued by Société Algérienne d'Ingénierie Aérospatiale (SAIA) to Meridian Aerospace Consulting SARL for the engagement of a qualified Aerospace Engineer to provide specialized technical consulting and design services in support of SAIA's ongoing satellite ground-station infrastructure project. The Aerospace Engineer shall be physically stationed and perform all duties at the SAIA facilities located in Algeria Algiers, specifically at the Hydra industrial district premises.

All amounts are expressed in Algerian Dinars (DZD). Payment shall be processed via bank transfer to the supplier's account at Banque d'Algérie, branch Algeria Algiers, in accordance with the payment schedule outlined in Section 5.

4.1 This Purchase Order is governed by the Algerian Commercial Code and applicable regulations of the People's Democratic Republic of Algeria. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Algeria Algiers.

4.2 The Aerospace Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Aerospace Engineering or an equivalent qualification recognized by the Algerian Ministry of Higher Education and Scientific Research. A valid professional license issued by the Algerian Order of Engineers (Ordre National des Ingénieurs) is mandatory prior to commencement of work.

4.3 The supplier shall ensure that the Aerospace Engineer complies with all health, safety, and environmental regulations applicable to industrial sites in Algeria Algiers, including those enforced by the Direction de la Protection Civile and the local industrial authority.

4.4 All intellectual property, technical drawings, simulation data, and documentation produced by the Aerospace Engineer in the course of this engagement shall remain the exclusive property of SAIA. The supplier shall execute a non-disclosure agreement (NDA) prior to the first day of performance.

4.5 The supplier is responsible for obtaining any necessary work permits, professional registrations, or local authorizations required to operate in Algeria Algiers. Failure to secure such permits shall not relieve the supplier of its obligations under this Purchase Order.

4.6 In the event of force majeure, including but not limited to natural disasters, government-mandated closures, or civil unrest affecting the Algeria Algiers metropolitan area, either party may suspend performance with written notice within five (5) business days. The Purchase Order timeline shall be extended accordingly.

The Aerospace Engineer shall commence duties no later than 1 July 2025 at the SAIA premises in Algeria Algiers. The total engagement period under this Purchase Order is estimated at five (5) calendar months, subject to the milestone completion schedule. The supplier shall provide a named Aerospace Engineer and shall not substitute personnel without prior written approval from SAIA's Director of Procurement.

This Purchase Order becomes binding upon signature by both parties. The supplier acknowledges receipt of this Purchase Order and confirms its capacity to deliver the specified Aerospace Engineer services in Algeria Algiers within the stated timeframe and at the agreed-upon rates.
