This Purchase Order is issued by Andes Aerospace Solutions S.A. to formally engage the services of a qualified Aerospace Engineer to perform critical structural and aerodynamic analysis for the Andes Orbital Platform project. The Aerospace Engineer shall be based at the company's primary engineering facility located in Argentina Córdoba, specifically within the Parque Industrial Malvinas Argentinas, where all on-site work, collaborative design sessions, and technical reviews will take place.
The Aerospace Engineer is expected to hold a minimum of ten (10) years of professional experience in aerospace structural design, with demonstrated expertise in composite material analysis, finite element modeling (FEM), and orbital vehicle thermal management. The professional must be registered with the Colegio de Ingenieros de la Provincia de Córdoba and possess valid certification from the Argentine Space Agency (CONAE) for work involving orbital-class vehicle components.
All deliverables under this Purchase Order shall be produced in accordance with the Argentine National Technical Standards (IRAM) and applicable international aerospace standards (AS9100, ISO 9001). The Aerospace Engineer shall report directly to the Chief Technical Officer of Andes Aerospace Solutions S.A. and shall attend weekly progress meetings held at the Córdoba headquarters.

5.1 This Purchase Order constitutes a binding agreement between Andes Aerospace Solutions S.A. (hereinafter "the Buyer") and Orbital Dynamics Consulting Group S.R.L. (hereinafter "the Vendor") for the provision of Aerospace Engineer professional services to be performed in Argentina Córdoba.
5.2 Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon completion of the structural analysis phase, and 25% upon final delivery and acceptance of all documentation. Payments shall be processed via bank transfer to the Vendor's account at Banco de la Nación Argentina, Sucursal Córdoba.
5.3 The Aerospace Engineer assigned to this contract shall maintain full-time availability at the Argentina Córdoba facility during the contracted period. Any absence exceeding three (3) consecutive business days must be pre-approved in writing by the Buyer's Chief Technical Officer.
5.4 All intellectual property, design data, simulation results, and technical reports generated under this Purchase Order shall remain the exclusive property of Andes Aerospace Solutions S.A. The Aerospace Engineer and the Vendor agree to sign a non-disclosure agreement (NDA) prior to commencing work.
5.5 The Vendor shall comply with all applicable labor, tax, and regulatory obligations in the Province of Córdoba, Argentina, including but not limited to the Argentine Labor Law (Ley de Contrato de Trabajo No. 20.744) and the tax regulations of the Administración Federal de Ingresos Públicos (AFIP).
5.6 In the event of non-performance or failure to meet the technical specifications outlined in this Purchase Order, the Buyer reserves the right to terminate the agreement with thirty (30) days' written notice and to withhold payment for undelivered or non-conforming work.
5.7 This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, with jurisdiction vested in the commercial courts of the city of Córdoba, Argentina.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of an Aerospace Engineer in Argentina Córdoba.
