The scope of work for the Aerospace Engineer under this Purchase Order includes, but is not limited to: structural analysis of composite airframe components, aerodynamic performance modeling, propulsion system integration review, flight dynamics simulation, and technical documentation preparation for type certification submissions. All deliverables produced by the Aerospace Engineer shall be submitted to the designated project office located at Avenue Louise 420, 1050 Belgium Brussels, no later than the deadlines specified in the attached Statement of Work (SOW-2025-114).

The Aerospace Engineer assigned to this Purchase Order must hold a minimum of ten (10) years of professional experience in commercial or defense aerospace programs, possess a Master's degree or higher in Aerospace Engineering or a closely related discipline, and maintain current professional certification recognized by the Royal Belgian Institute of Engineers (KBIE/IBGE) in Belgium Brussels.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Belgium, with jurisdiction vested in the competent courts of Belgium Brussels. Any disputes arising from this Purchase Order shall be resolved in the courts of Belgium Brussels unless otherwise agreed in writing by both parties.
2. Payment Terms: Payment for services rendered under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice from the supplier. Invoices must reference this Purchase Order number (PO-BE-BRU-2025-04872) and include the supplier's VAT registration number. Late payments shall accrue interest at the rate prescribed by Belgian law.
3. Performance Period: The Aerospace Engineer services procured under this Purchase Order shall commence on 1 July 2025 and conclude on 31 December 2025, unless extended by mutual written agreement. The Aerospace Engineer must be physically present at the Belgium Brussels office no fewer than four (4) days per week for full-time engagements.
4. Confidentiality: The Aerospace Engineer shall be bound by a strict Non-Disclosure Agreement (NDA) covering all proprietary data, design specifications, and technical documentation encountered during the performance of this Purchase Order. Confidentiality obligations shall survive termination of this Purchase Order for a period of five (5) years.
5. Quality Assurance: All deliverables produced by the Aerospace Engineer must comply with ISO 9001:2015 quality management standards and applicable EASA Part 21 and Part 145 requirements. EuroAero Dynamics S.A. reserves the right to inspect and audit the work of the Aerospace Engineer at any reasonable time during the performance period in Belgium Brussels.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Aerospace Engineer shall deliver all work-in-progress documentation to EuroAero Dynamics S.A. in Belgium Brussels within fourteen (14) days of the termination effective date.
7. Insurance: The supplier shall maintain professional indemnity insurance with a minimum coverage of 1,000,000 EUR for the duration of this Purchase Order, valid throughout Belgium Brussels and the European Union.
8. Compliance: The Aerospace Engineer shall comply with all applicable Belgian labor regulations, EU data protection regulations (GDPR), and aerospace industry safety standards while performing duties under this Purchase Order in Belgium Brussels.

All services under this Purchase Order shall be performed at the primary work location: EuroAero Dynamics S.A., Avenue Louise 420, 1050 Belgium Brussels, Belgium. The Aerospace Engineer shall report to the Project Management Office on the ground floor of the Belgium Brussels facility. Any off-site work, including visits to the Liège aerospace test range or EASA offices in Cologne, Germany, must be pre-approved in writing by the Buyer's Project Director.
