2. Description of Procurement – Aerospace Engineer Engagement

This Purchase Order is issued by Guangzhou Aerospace Industrial Group Co., Ltd. (hereinafter referred to as the "Buyer") to procure the professional services of a qualified Aerospace Engineer for a fixed-term engagement at the Buyer's primary research and development facility located in China Guangzhou. The Aerospace Engineer shall be responsible for the design, analysis, testing, and certification of next-generation composite airframe components for the GZ-7X commercial aircraft programme. The engagement is governed by the terms set forth in this Purchase Order and the supplementary Service Level Agreement (SLA) attached hereto as Annex A.

The Aerospace Engineer must hold a minimum of a Master's degree in Aerospace Engineering or a closely related discipline from an accredited institution, possess no fewer than eight (8) years of progressive experience in structural design and fatigue analysis, and demonstrate proficiency in CATIA V6, ANSYS Mechanical, and NASTRAN. The candidate must also hold a valid PRC work permit and be legally authorized to perform professional engineering services within the administrative boundaries of China Guangzhou.

4. Terms and Conditions

Scope of Work: The Aerospace Engineer shall report directly to the Chief Design Authority at the Buyer's facility in China Guangzhou and shall perform all duties in strict compliance with CAAC (Civil Aviation Administration of China) regulations, ICAO standards, and the Buyer's internal quality management system (ISO 9001:2015 / AS9100D).
Contract Duration: This Purchase Order covers a twelve (12) month engagement commencing on 01 August 2025 and concluding on 31 July 2026, unless extended by mutual written agreement of both parties.
Payment Terms: Payment shall be made in monthly installments via bank transfer to the Vendor's designated account within fifteen (15) calendar days of receipt of a valid invoice. The Buyer reserves the right to withhold payment for any month in which the Aerospace Engineer fails to meet the KPIs defined in Annex A of the SLA.
Intellectual Property: All designs, analyses, test data, and documentation produced by the Aerospace Engineer during the term of this Purchase Order shall be the sole and exclusive property of the Buyer. The Vendor warrants that no third-party IP rights are infringed.
Confidentiality: The Vendor and the Aerospace Engineer shall maintain strict confidentiality of all proprietary information, programme data, and technical drawings encountered during the engagement in China Guangzhou. This obligation survives termination of this Purchase Order for a period of five (5) years.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Vendor shall ensure an orderly handover of all work-in-progress to the Buyer's engineering team in China Guangzhou.
Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the People's Republic of China. Any disputes arising hereunder shall be resolved through arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing.
Compliance: The Vendor warrants that the Aerospace Engineer shall comply with all applicable PRC labour laws, immigration regulations, and local ordinances in China Guangzhou. The Vendor shall bear full responsibility for any penalties arising from non-compliance.

5. Delivery and Acceptance

The Vendor shall ensure that the Aerospace Engineer is fully onboarded, equipped, and operational at the Buyer's China Guangzhou facility no later than 01 August 2025. Acceptance of the Aerospace Engineer's services shall be confirmed in writing by the Buyer's Procurement Director within five (5) business days of the start date. Failure to meet the delivery date shall entitle the Buyer to a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
