This Purchase Order is issued by Tehran Aerospace Research & Development Institute (TARDI) to procure the professional services of a qualified Aerospace Engineer and associated technical resources for the design, simulation, and certification support of a next-generation satellite propulsion module. The Aerospace Engineer shall be based in Iran Tehran and shall conduct all primary engineering activities at the TARDI facility located in Tehran, Iran. The scope of work under this Purchase Order encompasses the following deliverables:

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within ten (10) business days of the date of issue. The Supplier acknowledges that all services and goods described herein are to be delivered and performed in Iran Tehran unless otherwise specified in writing.
- Qualification of Aerospace Engineer: The designated Aerospace Engineer, Dr. Saeed Ahmadi, must hold a valid professional engineering license issued by the Iranian National Organization for Engineering Technology and must possess a minimum of fifteen (15) years of documented experience in aerospace propulsion and structural design. TARDI reserves the right to request alternative qualified personnel with equivalent credentials.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of the mid-project review (month six), and 30% upon final acceptance of all deliverables. All payments shall be processed through the designated banking channels in Tehran, Iran, in accordance with the Central Bank of Iran regulations.
- Delivery and Performance Location: All engineering services, laboratory testing, and on-site supervision activities under this Purchase Order shall be conducted at the TARDI facility in Tehran, Iran. The Aerospace Engineer shall maintain a minimum presence of five (5) days per week at the Tehran site during active project phases.
- Intellectual Property: All designs, simulations, calculations, and documentation produced by the Aerospace Engineer under this Purchase Order shall be the exclusive property of TARDI. The Supplier shall execute a non-disclosure agreement (NDA) prior to commencing any work in Iran Tehran.
- Compliance with Iranian Regulations: The Supplier and the Aerospace Engineer shall comply with all applicable laws, regulations, and export control requirements of the Islamic Republic of Iran. Any conflict with international sanctions or trade restrictions shall be resolved in favor of Iranian domestic law as the governing framework for this Purchase Order.
- Warranty and Defects: The Aerospace Engineer warrants that all engineering deliverables shall be free from material defects in design, calculation, or analysis for a period of twenty-four (24) months following final acceptance. Any defects discovered within this warranty period shall be corrected at no additional cost to TARDI.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Supplier shall be compensated for all work completed and accepted up to the termination date, as verified by the TARDI project manager in Tehran.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Tehran, Iran, in accordance with the rules of the Tehran Regional Arbitration Center (TRAC). The language of arbitration shall be English, and the governing law shall be that of the Islamic Republic of Iran.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Iran, or acts of war, provided that written notice is given within five (5) business days of the occurrence.
