This Purchase Order is issued by the Jerusalem Aerospace Research & Development Authority (JARDA) to formally engage the services of a qualified Aerospace Engineer for the duration of the project identified herein. The Aerospace Engineer shall be responsible for the design, analysis, simulation, and technical oversight of next-generation propulsion systems and structural airframe components as part of the JARDA Strategic Aerospace Programme. All work under this Purchase Order shall be performed at the JARDA primary facility located in Israel Jerusalem, specifically at the Herzl Street campus, unless otherwise directed in writing by the Buyer’s project management office.

The Aerospace Engineer engaged under this Purchase Order must hold a minimum of a Master’s degree in Aerospace Engineering or a directly related discipline, possess no fewer than eight (8) years of progressive professional experience in aerospace systems design, and demonstrate proficiency in computational fluid dynamics (CFD), finite element analysis (FEA), and systems-level integration. The Aerospace Engineer shall comply with all applicable Israeli regulatory standards, including those issued by the Israeli Civil Aviation Authority (ICAA) and the Standards Institution of Israel (SII), as well as any project-specific technical directives issued by JARDA.

The Aerospace Engineer services described in this Purchase Order shall commence on 1 August 2025 and shall continue through 31 July 2026, subject to the milestones and deliverables outlined in the attached Statement of Work (SOW-IL-JER-2025-ALPHA). All deliverables, including design packages, simulation reports, test data summaries, and final engineering documentation, shall be submitted to the JARDA project office in Israel Jerusalem no later than the dates specified in the SOW. The Aerospace Engineer shall attend bi-weekly progress review meetings held at the JARDA Israel Jerusalem headquarters and shall provide written status reports on the last business day of each month.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Israel Jerusalem.
  2. Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice from the Seller. Invoices shall reference this Purchase Order number (PO-IL-JER-2025-04872) and the applicable line item. Payment shall be processed via bank transfer to the account designated by the Seller.
  3. Intellectual Property: All work product, designs, data, and documentation created by the Aerospace Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of JARDA. The Aerospace Engineer and the Seller hereby assign all intellectual property rights to the Buyer upon creation.
  4. Confidentiality: The Aerospace Engineer shall maintain strict confidentiality with respect to all proprietary information, technical data, and project details encountered during the performance of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  5. Compliance with Israeli Regulations: The Aerospace Engineer shall comply with all applicable laws, regulations, and standards of the State of Israel, including but not limited to the Israeli Labor Law, the Israeli Privacy Protection Law, and all export control regulations administered by the Israeli Ministry of Defense.
  6. Termination: Either party may terminate this Purchase Order with sixty (60) days’ written notice. In the event of termination, the Seller shall be compensated for all services rendered and approved deliverables completed up to the effective date of termination.
  7. Insurance and Liability: The Seller shall maintain professional liability insurance with a minimum coverage of ILS 10,000,000 for the duration of this Purchase Order. The Aerospace Engineer shall be covered under the Seller’s workers’ compensation and professional indemnity policies.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order to the extent such failure is caused by events beyond reasonable control, including but not limited to acts of war, natural disasters, government sanctions, or pandemics, provided that the affected party gives prompt written notice to the other party.
  9. Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.

By signing below, the undersigned authorized representatives of both parties acknowledge and agree to all terms, conditions, pricing, and obligations set forth in this Purchase Order. This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the engagement of the Aerospace Engineer services as described herein, to be performed at the JARDA facility in Israel Jerusalem.
