This Purchase Order is issued by Caucasus Aerospace Systems LLP (hereinafter referred to as the "Buyer") to Steppe Orbital Consulting Group JSC (hereinafter referred to as the "Supplier") for the engagement of a qualified Aerospace Engineer to provide specialized technical services in support of the Buyer's satellite ground-station infrastructure project located in Kazakhstan Almaty. The Aerospace Engineer shall be responsible for the design review, systems integration, and performance validation of the Buyer's next-generation communication payload modules.

The scope of work under this Purchase Order includes, but is not limited to, the following deliverables:

• Structural and thermal analysis of the satellite bus framework, to be conducted at the Buyer's facility in Kazakhstan Almaty.
• Propulsion system trajectory modeling and orbital mechanics verification for low-Earth orbit deployment scenarios.
• Avionics subsystem integration testing, including flight software interface validation and fault-tolerance assessment.
• Preparation of a comprehensive Aerospace Engineer technical report in accordance with IEC 61004 and ISO 16298 standards, to be delivered no later than 90 days from the commencement date.
• On-site consultation and mentoring sessions for the Buyer's in-house engineering team based in Kazakhstan Almaty, totaling no fewer than 40 hours over the contract period.
• Compliance review of all design documentation against the regulatory requirements of the National Agency for Aerospace Activities of the Republic of Kazakhstan.

Payment under this Purchase Order shall be made in US Dollars via international wire transfer to the Supplier's designated bank account. The payment schedule is as follows:

• 30% advance payment ($186,312.00) due within 10 business days of the Buyer's written acceptance of this Purchase Order.
• 40% milestone payment ($248,416.00) due upon delivery and Buyer's written approval of the interim Aerospace Engineer technical report at the 45-day mark.
• 30% final payment ($186,312.00) due within 15 business days of final acceptance of all deliverables and the completed Aerospace Engineer certification package.

Late payments shall incur a penalty of 0.5% per calendar day of delay, in accordance with the Civil Code of the Republic of Kazakhstan, Chapter 44 (Payment Obligations).

The Aerospace Engineer engagement shall commence on 1 July 2025 at the Buyer's primary engineering facility located at 12 Abai Avenue, Almaty, Kazakhstan. All on-site work shall be conducted within the Kazakhstan Almaty metropolitan area unless otherwise agreed in writing by both parties. The Supplier shall ensure that the assigned Aerospace Engineer holds a valid work permit or employment authorization issued by the Committee for Migration Control of the Ministry of Internal Affairs of the Republic of Kazakhstan, if applicable.

1. This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Kazakhstan. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration at the International Arbitration Center of the Astana International Financial Centre (AIFC).
2. The Supplier warrants that the Aerospace Engineer assigned to this Purchase Order possesses a minimum of a Master's degree in Aerospace Engineering or an equivalent qualification recognized by the Ministry of Science and Higher Education of the Republic of Kazakhstan, and holds no fewer than 15 years of progressive professional experience in satellite systems design.
3. All intellectual property generated by the Aerospace Engineer in the course of performing services under this Purchase Order shall vest exclusively in the Buyer upon full payment. The Supplier shall execute any and all assignment documents reasonably required by the Buyer.
4. The Supplier shall maintain professional liability insurance with a minimum coverage of USD 2,000,000 for the duration of this Purchase Order, naming the Buyer as an additional insured party.
5. Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination, as certified by the Aerospace Engineer's timesheets.
6. All communications, reports, and deliverables under this Purchase Order shall be prepared in English. Translations into Russian or Kazakh shall be provided at the Supplier's expense if required by Kazakhstan Almaty local regulatory authorities.
7. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral.
