1. Scope of Engagement: The Aerospace Engineer shall perform all structural, propulsion, and flight-dynamics engineering tasks as outlined in the attached Statement of Work (SOW-KEA-NBO-2025-AE-012). All deliverables must comply with the standards set by the Civil Aviation Authority of Kenya (CAAK) and applicable ICAO Annex 8 provisions.
2. Place of Performance: All on-site activities, meetings, and technical reviews shall be conducted at the East African Aerospace Solutions Ltd. facility located in Kenya Nairobi, Westlands Industrial Zone, Plot 7, Ngong Road. The Aerospace Engineer is expected to be physically present in Kenya Nairobi for a minimum of 40 working days as specified in Item 05 of this Purchase Order.
3. Payment Terms: Payment shall be made in three (3) equal instalments: 30% upon acceptance of this Purchase Order, 40% upon successful completion of Phase II deliverables, and 30% upon final acceptance of all Phase III deliverables and CAAK certification documentation. Payments shall be processed via bank transfer to the vendor's account within fourteen (14) calendar days of invoice submission. All amounts are denominated in Kenyan Shillings (KES) and are subject to the prevailing VAT rate as administered by the Kenya Revenue Authority.
4. Intellectual Property: All designs, models, simulations, and documentation produced by the Aerospace Engineer under this Purchase Order shall become the exclusive property of East African Aerospace Solutions Ltd. upon full payment. The Aerospace Engineer grants an irrevocable, perpetual licence to use, modify, and commercialise the deliverables.
5. Confidentiality: The Aerospace Engineer agrees to maintain strict confidentiality regarding all proprietary data, flight test results, and operational parameters encountered during the course of this engagement in Kenya Nairobi. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Insurance and Liability: The Aerospace Engineer shall maintain professional indemnity insurance with a minimum cover of KES 10,000,000, valid throughout the duration of the contract. The Aerospace Engineer shall be liable for any damages arising from negligence or failure to meet the specified engineering tolerances.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Aerospace Engineer shall be compensated for all work satisfactorily completed up to the date of termination, less any applicable deductions.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising herefrom shall be resolved through arbitration in Kenya Nairobi in accordance with the Arbitration Act, 1995 (Cap 15, Laws of Kenya).
9. Compliance: The Aerospace Engineer warrants that all services rendered shall comply with the Kenya Occupational Safety and Health Act (2007), the CAAK Regulations, and all applicable environmental and aviation safety standards in force in Kenya Nairobi at the time of performance.
Acceptance and AuthorisationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Aerospace Engineer services in Kenya Nairobi and shall remain in full force and effect until all obligations have been discharged.
