This Purchase Order is issued by Malaysia Aerospace Solutions Sdn. Bhd. to procure the professional services of a qualified Aerospace Engineer to support the design, analysis, and certification activities for the KL-770 Regional Aircraft Programme. The Aerospace Engineer shall be based at our principal engineering facility located in Malaysia Kuala Lumpur and shall report directly to the Chief Technical Officer. The scope of engagement covers aerodynamic modelling, structural integrity assessment, propulsion system evaluation, and compliance with the Malaysian Aviation Authority (MAV) regulatory framework as well as international standards including EASA CS-25 and FAA Part 25.

4.1 This Purchase Order is governed by the laws of Malaysia and shall be interpreted in accordance with the Contracts Act 1950 of Malaysia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Malaysia Kuala Lumpur under the rules of the Asian International Arbitration Centre (AIAC).

4.2 The Aerospace Engineer(s) engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Aerospace Engineering or a closely related discipline from a recognised institution, and must possess a valid Professional Engineer (Ir.) registration with the Board of Engineers Malaysia (BEM). A minimum of eight (8) years of post-qualification experience in commercial or defence aerospace programmes is required.

4.3 All work shall be performed at the Malaysia Aerospace Solutions Sdn. Bhd. facility in Malaysia Kuala Lumpur, or at such other location in Malaysia Kuala Lumpur as mutually agreed in writing. Remote work is not permitted for classified programme data.

4.4 Payment terms: 30% advance upon acceptance of this Purchase Order, 40% upon successful completion of the six-month milestone review, and 30% upon final project acceptance and handover of all deliverables. All payments shall be made in Malaysian Ringgit (MYR) via bank transfer to the account specified in Section 1.

4.5 The vendor shall ensure that each Aerospace Engineer complies with all applicable Malaysian employment regulations, including the Employment Act 1955, the Employment (Amendment) Act 2022, and the relevant Industrial Relations Act 1967. Work permits for any non-Malaysian Aerospace Engineer must be secured prior to commencement.

4.6 Intellectual property generated by the Aerospace Engineer(s) during the course of this engagement shall vest exclusively in Malaysia Aerospace Solutions Sdn. Bhd. The vendor warrants that no third-party IP shall be infringed.

4.7 This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the vendor shall be compensated for work completed up to the termination date, less any advance payments already received.

4.8 The vendor shall maintain professional indemnity insurance of not less than MYR 5,000,000 and public liability insurance of not less than MYR 2,000,000 for the duration of this Purchase Order.

The Aerospace Engineer team shall commence duties no later than 1 August 2025 at the Malaysia Kuala Lumpur engineering campus. A detailed onboarding schedule, including security briefing, facility access provisioning, and project orientation, shall be provided by the vendor within five (5) business days of acceptance of this Purchase Order.

This Purchase Order is valid upon signature by both parties. By signing below, the vendor acknowledges receipt of this Purchase Order and agrees to the terms, conditions, scope, and pricing set forth herein.

This Purchase Order (PO-2025-KL-AE-00472) is the property of Malaysia Aerospace Solutions Sdn. Bhd. and is intended solely for the use of the named vendor in Malaysia Kuala Lumpur. Unauthorised reproduction or distribution is strictly prohibited. All communications regarding this Purchase Order shall be directed to the Procurement Department, Malaysia Aerospace Solutions Sdn. Bhd., Malaysia Kuala Lumpur.
