This Purchase Order is issued by Abuja Aerospace & Defence Industries Limited (AADIL) to procure the professional services of a qualified Aerospace Engineer to support the design, analysis, and certification of next-generation unmanned aerial vehicle (UAV) components for the Nigerian Air Force procurement programme. The engagement of the Aerospace Engineer shall be conducted in accordance with the specifications outlined in this Purchase Order and the attached Statement of Work (SOW), and all deliverables shall be submitted at the AADIL headquarters facility in Nigeria Abuja.

All services rendered under this Purchase Order shall be performed at the AADIL headquarters and manufacturing facility located at Plot 14, Airport Road, Wuse Zone 6, Nigeria Abuja. The Aerospace Engineer is expected to report to the site no later than 08:00 WAT on the commencement date of 01 July 2025. Any off-site work (e.g., laboratory testing at the National Aerospace Research Institute in Ilorin) must be pre-approved in writing by the Buyer's Chief Procurement Officer.
Payment for this Purchase Order shall be made in three (3) tranches via bank transfer to the Supplier's designated account with First Bank of Nigeria, Abuja Branch:

- This Purchase Order is governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Abuja, FCT, in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
- The Aerospace Engineer engaged under this Purchase Order must hold a valid professional registration with the Council for the Regulation of Engineering in Nigeria (COREN) and a minimum of a Master's degree in Aerospace Engineering or a closely related discipline.
- All intellectual property, designs, simulation data, and documentation produced by the Aerospace Engineer in the course of fulfilling this Purchase Order shall vest exclusively in AADIL. The Supplier shall execute a non-disclosure agreement (NDA) prior to commencing any work in Nigeria Abuja.
- The Supplier warrants that the Aerospace Engineer shall comply with all applicable Nigerian aviation regulations, including those issued by the Nigerian Civil Aviation Authority (NCAA) and the Federal Ministry of Aviation.
- Time is of the essence. Failure to meet the delivery milestones stipulated in this Purchase Order shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10%.
- This Purchase Order may be amended only by mutual written agreement signed by both parties. No verbal modifications shall be valid.
- The Supplier shall maintain professional indemnity insurance of not less than NGN 50,000,000 for the duration of the engagement, with AADIL named as an additional insured party.
- All invoices submitted against this Purchase Order must reference the Purchase Order number AADIL/PO/2025/00482 and be submitted to the AADIL Accounts Department in Abuja no later than five (5) business days before the stated due date.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This Purchase Order constitutes a binding contractual obligation upon execution by both the Buyer and the Supplier.
