This Purchase Order is issued by Seoul Advanced Propulsion Systems Co., Ltd. (hereinafter referred to as the "Buyer") to Orbital Dynamics Consulting Group, Inc. (hereinafter referred to as the "Supplier") for the professional services of a qualified Aerospace Engineer to be deployed and utilized within the metropolitan area of South Korea Seoul. The Aerospace Engineer shall provide specialized technical expertise in propulsion system design, structural analysis, aerodynamic simulation, and orbital mechanics support for the Buyer's next-generation satellite launch vehicle program. All professional services, site visits, laboratory work, and collaborative engineering sessions shall be conducted primarily at the Buyer's principal engineering facility located in Gangnam-gu, South Korea Seoul, unless otherwise directed in writing by the Buyer's Program Director.

4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon execution by both parties. All services described herein shall be performed by a credentialed Aerospace Engineer holding a minimum of a Master's degree in Aerospace Engineering from an accredited institution, with no fewer than eight (8) years of progressive experience in launch vehicle or satellite systems development.
4.2 The Aerospace Engineer shall report directly to the Buyer's Chief Technical Officer at the South Korea Seoul headquarters. All work products, design data, simulation outputs, and proprietary documentation generated during the term of this Purchase Order shall be the exclusive intellectual property of Seoul Advanced Propulsion Systems Co., Ltd.
4.3 The Supplier guarantees that the Aerospace Engineer assigned under this Purchase Order shall comply with all applicable regulations of the Ministry of Trade, Industry and Energy of the Republic of Korea, as well as the Korean Aerospace Research Institute (KARI) standards where applicable to the project scope.
4.4 Payment shall be made via bank transfer to the Supplier's designated account in South Korea Seoul within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under the Korean Commercial Act.
4.5 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet performance milestones, or if the Aerospace Engineer is unable to fulfill the technical requirements specified in the attached Statement of Work.
4.6 All disputes arising from this Purchase Order shall be resolved through arbitration in Seoul, South Korea, in accordance with the rules of the Korean Commercial Arbitration Board (KCAB). The governing law shall be the laws of the Republic of Korea.
4.7 The Aerospace Engineer shall maintain professional liability insurance with a minimum coverage of 500,000,000 KRW throughout the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to commencement of services.
5.1 The Aerospace Engineer shall commence full-time duties no later than July 1, 2025, at the Buyer's engineering campus in Gangnam-gu, South Korea Seoul. A formal onboarding and security clearance process shall be completed within the first five (5) business days.
5.2 Milestone deliverables shall be submitted on the following schedule: Phase 1 (Propulsion Design) – August 15, 2025; Phase 2 (Structural Analysis) – October 15, 2025; Phase 3 (Aerodynamic Validation) – December 15, 2025. Final project closeout and handover of all documentation shall occur by January 31, 2026.
