All deliverables under this Purchase Order shall comply with the Tanzania Civil Aviation Authority (TCAA) regulations and International Civil Aviation Organization (ICAO) standards as applicable to the East African region.

1. Scope of Engagement: The Aerospace Engineer(s) engaged under this Purchase Order shall report directly to the Chief Technical Officer of TADA in Tanzania Dar es Salaam. The Aerospace Engineer is responsible for conducting structural fatigue analysis on the Authority's fleet of Cessna 208 and ATR 72 aircraft, supervising composite repair operations, and developing a 16-week aerospace engineering training module for local technicians.
2. Delivery and Commencement: All equipment and software licenses listed in this Purchase Order shall be delivered to the TADA Technical Institute, Mbezi Beach Road, Tanzania Dar es Salaam, no later than 30 September 2025. The Aerospace Engineer professional services shall commence on 1 October 2025 and continue for a period of twelve (12) months unless terminated earlier in accordance with Clause 6.
3. Payment: Payment shall be made in Tanzanian Shillings (TZS) via bank transfer to the supplier's designated account in Tanzania Dar es Salaam within forty-five (45) calendar days of receipt of a valid tax invoice. The supplier shall provide a detailed progress invoice at the end of each calendar quarter for the Aerospace Engineer service component.
4. Quality and Compliance: All equipment supplied under this Purchase Order must meet or exceed ICAO Annex 8 standards and TCAA Part 145 maintenance requirements. The Aerospace Engineer shall hold a valid PRC (Part 66) or equivalent certification recognized by the Tanzania Civil Aviation Authority. All software licenses must be genuine, fully licensed, and free of any encumbrance.
5. Intellectual Property: All reports, analyses, training materials, and technical documentation produced by the Aerospace Engineer during the term of this Purchase Order shall become the exclusive property of TADA. The Aerospace Engineer shall sign a non-disclosure agreement prior to commencing work in Tanzania Dar es Salaam.
6. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the supplier shall be compensated for all services rendered and equipment delivered up to the termination date. The Aerospace Engineer shall complete all outstanding inspection reports before departure.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tanzania Dar es Salaam under the Tanzania Arbitration Act, Cap. 30.
8. Validity: This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
