This Purchase Order is issued by Anadolu Aerospace Systems A.Ş. (hereinafter referred to as the "Purchaser") to Boğaziçi Engineering & Consultancy Ltd. (hereinafter referred to as the "Vendor") for the engagement of a qualified Aerospace Engineer to provide specialized technical services in support of the Purchaser's ongoing satellite ground-station development programme. All services under this Purchase Order shall be performed at the Purchaser's primary facility located in Turkey Istanbul, specifically at the Beyoğlu industrial campus, and shall comply with all applicable regulations of the Turkish Directorate General of Civil Aviation (SHGM) and the European Union Aviation Safety Agency (EASA) standards as adopted in Turkey.

4.1 Scope of Work. The Vendor shall assign a single, dedicated Aerospace Engineer (minimum 8 years of post-graduate experience in aerospace systems engineering, holding a valid Turkish professional engineering licence – "Yeminli Mühendis" or equivalent) to perform all duties described in Section 3 of this Purchase Order. The Aerospace Engineer shall report directly to the Purchaser's Chief Technical Officer at the Turkey Istanbul site.
4.2 Commencement and Duration. Services shall commence on 1 July 2025 and shall continue for the durations specified in each line item. The total contract period under this Purchase Order shall not exceed 12 months from the commencement date, unless extended by mutual written agreement.
4.3 Payment Terms. Payment shall be made in monthly instalments within 30 days of receipt of a valid invoice from the Vendor. Invoices shall be issued in Turkish Lira (TRY) and shall reference this Purchase Order number (PO-TR-IST-2025-04872). Late payments shall accrue interest at the statutory rate prescribed by the Turkish Code of Obligations (Türk Borçlar Kanunu).
4.4 Intellectual Property. All designs, analyses, reports, software code, and documentation produced by the Aerospace Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of the Purchaser. The Vendor and the Aerospace Engineer shall execute any additional IP assignment documents reasonably requested by the Purchaser.
4.5 Confidentiality. The Vendor and the assigned Aerospace Engineer shall treat all technical data, programme information, and business secrets of the Purchaser as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4.6 Compliance with Turkish Law. All services rendered under this Purchase Order shall comply with the laws of the Republic of Turkey, including but not limited to the Turkish Labour Code (4857), the Turkish Commercial Code (6102), and all applicable aviation and aerospace regulations enforced by SHGM and the Turkish Space Agency (TUA – Türkiye Uzay Ajansı). The Aerospace Engineer shall hold all necessary work permits and professional registrations valid for employment in Turkey Istanbul.
4.7 Insurance and Liability. The Vendor shall maintain professional indemnity insurance with a minimum coverage of TRY 5,000,000 for the duration of this Purchase Order. The Vendor shall be liable for any damages, losses, or delays arising from the negligence or professional misconduct of the Aerospace Engineer.
4.8 Termination. Either party may terminate this Purchase Order with 60 days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Vendor shall deliver all work-in-progress documentation to the Purchaser within 14 days.
4.9 Governing Law and Dispute Resolution. This Purchase Order shall be governed by the laws of the Republic of Turkey. Any disputes arising hereunder shall be resolved by the competent courts in Istanbul, Turkey. The parties may, by mutual agreement, submit disputes to arbitration under the rules of the Istanbul Arbitration Centre (ISTAC).
This Purchase Order is issued and authorized by the undersigned on behalf of Anadolu Aerospace Systems A.Ş. The Vendor's acceptance of this Purchase Order shall be confirmed by countersigning below and returning a copy to the Purchaser within five (5) business days of receipt.
