This Purchase Order is issued by Al Maktoum Aerospace Industries LLC for the engagement of a qualified Aerospace Engineer to provide specialized technical consulting, design oversight, and project management services in support of the buyer's satellite ground-station infrastructure upgrade programme. The Aerospace Engineer shall be based in the United Arab Emirates Dubai office of the buyer and shall report directly to the Chief Technical Officer. The scope of work encompasses aerodynamic analysis, propulsion system review, structural integrity assessment, and compliance verification in accordance with the General Civil Aviation Authority (GCAA) of the United Arab Emirates and the International Civil Aviation Organization (ICAO) standards applicable within the United Arab Emirates Dubai jurisdiction.

The Aerospace Engineer must hold a minimum of a Master's degree in Aerospace Engineering or a closely related discipline from an accredited institution, possess a valid professional engineering licence recognised by the UAE Ministry of Energy and Infrastructure, and demonstrate a minimum of ten (10) years of progressive experience in commercial and/or defence aerospace programmes. The candidate must be physically present in the United Arab Emirates Dubai for no fewer than five (5) working days per week throughout the contract duration.

Payment shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the supplier's designated account in the United Arab Emirates Dubai. The payment schedule is as follows:

30% advance payment upon execution of this Purchase Order and confirmation of the Aerospace Engineer's identity, credentials, and UAE work permit.
40% payable in two equal instalments at the completion of Month 6 and Month 12 of the engagement.
30% final payment upon successful delivery of all regulatory compliance documentation, final project reports, and completion of the knowledge transfer programme.

Invoices must be submitted to the buyer's accounts payable department in the United Arab Emirates Dubai no later than the 5th business day of the following month. Payment shall be processed within thirty (30) calendar days of receipt of a valid, error-free invoice. Late payments shall attract interest at the rate of 2% per month in accordance with UAE commercial law.

1. This Purchase Order is governed by the laws of the United Arab Emirates and the specific commercial regulations of the United Arab Emirates Dubai jurisdiction. Any disputes arising from this Purchase Order shall be resolved through the Dubai International Financial Centre (DIFC) Courts or, at the buyer's election, through arbitration administered by the Dubai International Arbitration Centre (DIAC).
2. The Aerospace Engineer engaged under this Purchase Order shall be bound by a strict non-disclosure and intellectual property agreement. All designs, analyses, reports, and proprietary data generated during the engagement in the United Arab Emirates Dubai shall remain the exclusive property of Al Maktoum Aerospace Industries LLC.
3. The supplier warrants that the Aerospace Engineer shall comply with all UAE labour laws, immigration regulations, and professional licensing requirements applicable in the United Arab Emirates Dubai. The supplier is solely responsible for obtaining and maintaining the Aerospace Engineer's UAE residence visa, work permit, and professional engineering registration.
4. The buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Aerospace Engineer fails to meet the performance benchmarks outlined in the attached Statement of Work, or if the supplier breaches any material term herein.
5. All deliverables must be submitted in English and, where required by UAE regulatory authorities, accompanied by an Arabic translation certified by a UAE-licensed translator in the United Arab Emirates Dubai.
6. This Purchase Order does not constitute a permanent employment relationship. The Aerospace Engineer is engaged as a specialist consultant through the supplier entity and shall not be deemed an employee of the buyer.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding commercial agreement for the procurement of Aerospace Engineer services in the United Arab Emirates Dubai effective from the date of the last signature.
