Description of Services – Aerospace Engineer EngagementThis Purchase Order is issued by Meridian Aerospace Solutions Ltd. to formally engage the services of a qualified Aerospace Engineer to support the design, analysis, and certification of next-generation propulsion components for commercial aircraft. The Aerospace Engineer shall be based at our principal facility in United Kingdom Manchester, specifically at the Aerospace Innovation Centre on Victoria Street, and shall report directly to the Chief Technical Officer. The scope of work encompasses aerodynamic modelling, structural integrity assessments, materials selection for high-temperature environments, and compliance with EASA and UK CAA regulatory frameworks applicable to aerospace manufacturing in the United Kingdom.

1. Scope and Location: All services under this Purchase Order shall be performed by the designated Aerospace Engineer at the Meridian Aerospace Solutions facility located in United Kingdom Manchester, unless prior written approval is granted for remote or off-site work. The Aerospace Engineer shall maintain a minimum of four (4) full working days per week on-site in Manchester.
2. Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made via BACS transfer to the bank account nominated by Stratos Engineering Consultancy Ltd. The total value of this Purchase Order is fixed at GBP 501,240.00 inclusive of VAT, subject to any mutually agreed variations.
3. Intellectual Property: All work product, designs, analyses, reports, and data generated by the Aerospace Engineer in the course of fulfilling this Purchase Order shall be the sole and exclusive property of Meridian Aerospace Solutions Ltd. The Aerospace Engineer shall assign all intellectual property rights upon creation.
4. Confidentiality: The Aerospace Engineer shall be bound by the Non-Disclosure Agreement (NDA) executed concurrently with this Purchase Order. All proprietary information relating to aerospace designs, manufacturing processes, and client data handled in United Kingdom Manchester shall remain strictly confidential for a period of five (5) years following contract termination.
5. Compliance and Standards: The Aerospace Engineer shall adhere to all applicable UK aerospace industry standards, including BS EN ISO 9001:2015, EASA Part 145, and UK CAA regulations. The Aerospace Engineer must hold a valid UK Engineering Council (UKEngC) Chartered Engineer (CEng) or Incorporated Engineer (IEng) registration in Aerospace Engineering.
6. Termination: Either party may terminate this Purchase Order by providing sixty (60) days written notice. In the event of termination, the Aerospace Engineer shall complete all outstanding deliverables and hand over all project documentation to Meridian Aerospace Solutions Ltd. in Manchester.
7. Insurance: The supplier shall maintain Professional Indemnity Insurance of no less than GBP 5,000,000 and Public Liability Insurance of no less than GBP 10,000,000 for the duration of this Purchase Order, with Meridian Aerospace Solutions Ltd. named as an additional insured party.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
Authorisation and AcceptanceBy signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of the Aerospace Engineer in United Kingdom Manchester. This document constitutes a binding agreement upon execution by both parties.
