This Purchase Order is issued by Meridian Aerospace Solutions, Inc., a corporation duly registered and operating in United States Miami, Florida, to formally engage the services of a qualified Aerospace Engineer through Stratos Engineering Consultants LLC. The Aerospace Engineer shall provide specialized technical consulting, design review, and systems integration support for the development of next-generation propulsion components intended for commercial aerospace applications. All professional services rendered under this Purchase Order shall be performed in compliance with Federal Aviation Administration (FAA) regulations, American Society of Mechanical Engineers (ASME) standards, and applicable Florida state professional engineering licensing requirements. The Aerospace Engineer must hold a valid Professional Engineer (P.E.) license issued by the Florida Board of Professional Engineers and must demonstrate a minimum of fifteen (15) years of experience in aerospace structural analysis, thermal management systems, and composite material applications.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States, and the applicable federal regulations of the United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Miami, Florida, in accordance with the rules of the American Arbitration Association.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-MIA-AE-0472) and shall be submitted to the Procurement Department at Meridian Aerospace Solutions, Inc., United States Miami, Florida. Late payments shall accrue interest at a rate of 1.5% per month.
- Professional Liability: The Aerospace Engineer shall maintain professional liability insurance with a minimum coverage of $5,000,000 per occurrence and $10,000,000 in the aggregate. Certificates of insurance shall be provided prior to commencement of services.
- Intellectual Property: All designs, analyses, reports, and deliverables produced by the Aerospace Engineer under this Purchase Order shall be the sole property of Meridian Aerospace Solutions, Inc. The Aerospace Engineer shall execute all necessary assignment documents upon request.
- Confidentiality: The Aerospace Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data accessed during the performance of services under this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Aerospace Engineer shall be compensated for all services rendered up to the effective date of termination, less any applicable retainage.
- Compliance: The Aerospace Engineer warrants that all services shall comply with FAA Part 21, Part 23, and Part 33 regulations, as well as all applicable United States federal and Florida state laws governing the practice of professional engineering.
- Work Location: Primary work shall be performed at the Meridian Aerospace Solutions facility located at 4200 Biscayne Boulevard, United States Miami, Florida 33137. Remote work may be authorized in writing by the Procurement Director.
All deliverables, including but not limited to engineering reports, simulation outputs, design drawings, and certification documentation, shall be submitted to the Procurement Director at Meridian Aerospace Solutions, Inc., United States Miami, Florida, in both electronic (PDF and native CAD/CFD file formats) and hard copy (three (3) bound copies) form. Acceptance of deliverables shall be confirmed in writing within fifteen (15) business days of submission. Failure to issue a written rejection within this period shall constitute deemed acceptance.
